Target Effective Period definition

Target Effective Period means the period of time between the date on which a Shelf Registration Statement is actually declared effective and the later of (i) the date which is sixty (60) months following the date hereof, and (ii) the date which is three (3) months after the date on which all Holders cease to be an Affiliate of the Purchaser, provided the Purchaser provides each Holder with an opinion of counsel to such effect.

Examples of Target Effective Period in a sentence

  • The Company shall use its best efforts to have the Shelf Registration Statement declared effective on or before the Target Effective Date and to keep such Shelf Registration Statement continuously effective for the Target Effective Period.
