Effective Termination Date definition

Effective Termination Date has the meaning set forth in Section 10(b) hereof.

• In the event that the Company and the Manager are unable to agree to a revised Management Fee or other compensation structure during such sixty (60) day period, this Agreement shall terminate on the Effective Termination Date and the Company shall be obligated to pay the Manager the Termination Fee upon the Effective Termination Date.

Effective Termination Date means the date on which the Employee's employment or consultancy terminates;
