SVB Debt definition

SVB Debt means all obligations under the SVB Term Loan Agreement and all related loan documentation.

SVB Debt means Company Debt pursuant to that certain Loan and Security Agreement by and among Silicon Valley Bank, Company and Picometrix, LLC, dated as of January 31, 2012, as amended to date.

SVB Debt means indebtedness under that certain Loan and Security Agreement, dated March 12, 2012, between the Borrower and Silicon Valley Bank and the lenders party thereto, as amended, and all related loan documentation.

Examples of SVB Debt in a sentence

• Borrower shall use the proceeds of the Loans for general working capital purposes and corporate purposes and to pay fees, costs and expenses incurred in connection with the Transactions and to repay in full the SVB Debt.

• The Company shall have delivered to Parent (i) payoff letters in a form reasonably acceptable to Parent with respect to Company Debt (other than SVB Debt) for borrowed money as of immediately prior to the Closing, and (ii) evidence that all Encumbrances relating to Company Debt (other than SVB Debt) for borrowed money as of immediately prior to the Closing have been removed.

• The Borrower shall use the proceeds of the Loans (i) in the case of the Loans comprising the first Borrowing, to repay in full and terminate the SVB Debt and for general working capital purposes, and (ii) in the case of any Loans comprising the subsequent Borrowing, for general working capital purposes.

• Each holder of Permitted Priority Debt (other than the SVB Debt) shall have executed and delivered to the Lenders an intercreditor agreement, in substantially the form attached hereto as Exhibit J, satisfactory to the Lenders.

• Such Borrowing shall be made on the later of the following dates: (i) the date on which all the commitments to lend in respect of the SVB Debt have been terminated and all of the SVB Debt has been paid and (ii) the date on which at least $20,000,000 in net cash proceeds shall have been raised and fully funded in an equity financing of Borrower, which equity financing was completed on November 20, 2012; provided that such Borrowing shall not occur later than January 31, 2013.

More Definitions of SVB Debt

SVB Debt is defined in Section 6.1(j). "Tax" or "Taxes" means any federal, state, local or foreign income, gross receipts, license, payroll, employment, FICA, withholding, excise, severance, stamp, occupation, premium, windfall profits, customs duties, capital stock, franchise, profits, social security (or similar), unemployment, disability, real property, personal property, sales, use, transfer, registration, value added, alternative or add-on minimum, estimated, or other tax assessment or charge in the nature of a tax and imposed by any Taxing Authority, including any interest, penalty, or addition thereto, whether disputed or not, and including any obligations to indemnify or otherwise assume or succeed to the Tax liability of any other Person by reason of Contract (other than any contract entered into in the ordinary course of business, the principal purpose of which does not relate to taxes), assumption, transferee liability, operation of Law, Section 1.1502-6 of the Treasury regulations (or any predecessor or successor thereof or any analogous or similar provision under Law) or otherwise. "Tax Benefit" is defined in Section 8.6.1.

SVB Debt has the meaning set forth in Section 2.5 of this Agreement.

SVB Debt means the Obligations (as defined therein) under the Loan and Security Agreement, dated as of April 11, 2008, among Silicon Valley Bank, WBS LLC, WBS Inc. and TEK Channel, as amended.

SVB Debt means the borrowings provided for under the Loan and Security Agreement between Zordich, as borrower, and SVB, as lender, dated December 29, 2017.

SVB Debt means all obligations and liabilities of the Company and its Subsidiaries arising under or in connection with that certain Second Amended and Restated Loan and Security Agreement, dated as of May 23, 2012, by and between Silicon Valley Bank and the Company (as may have been modified, amended, or supplemented from time to time, including by (i) that certain First Loan Modification Agreement, dated as of Xxxxx 00, 0000, (xx) that certain Second Loan Modification Agreement, dated as of February 18, 2014, (iii) that certain Third Loan Modification Agreement, dated as of March 31, 2015, (iv) that certain Fourth Loan Modification Agreement, dated as of March 29, 2016), and (v) that certain Fifth Loan Modification Agreement, dated as of March 29, 2017, including all interest, prepayment premiums, penalties, and other fees and expenses required to satisfy all such obligations and liabilities.

SVB Debt means the indebtedness, obligations and liabilities now or hereafter owed by Borrowers to SVB under the SVB Documents, as such may be amended or modified from time to time (including without limitation, the SVB Loan and the payment of any indebtedness arising under any other instrument benefiting SVB), and any renewals thereof.

SVB Debt means Indebtedness of the Company under the Loan and Security Agreement between SVB and the Company, dated as of November 30, 2021, as amended from time to time.
