By July 31, 2022, the Borrower, directly or indirectly, shall acquire (such acquisition, the “Cuda Acquisition”) assets of Cuda Energy LLC pursuant to the Asset Purchase and Sale Agreement dated April 11, 2022 between the Borrower and FTI Consulting Canada Inc., on the terms satisfactory to the Administrative Agent in its sole discretion with the loan proceeds from Cuda Acquisition Indebtedness.
Create, incur, assume or suffer to exist (a) any Priority Indebtedness in excess at any time of an amount equal to 7.5% of Assets at such time or (b) any Permitted Subsidiary Acquisition Indebtedness in an aggregate principal amount in excess of $500,000,000 outstanding at any time.
The consent and agreement contained in this Section 2 is limited in nature and shall only be effective for the period from the date of the effectiveness of this Amendment through the earlier of: (x) the date of termination of the escrow agreement entered into by the New Subsidiary with respect to the Sheridan Acquisition Indebtedness and (y) November 29, 2014 (the “Outside Date”).
Each Lender acknowledges and agrees that any Agent or one or more of its Affiliates may (but is not obligated to) act as administrative agent or a similar representative for the holders of any Cavium Acquisition Indebtedness.
The Borrowers shall not suffer or permit any Company (other than the Parent) to incur any Indebtedness by way of guarantee or any other contingent obligation with respect to any Permitted Acquisition Indebtedness.
