Sustainability Amount definition

Sustainability Amount means the greenhouse gas emissions intensity resulting from the Borrowers’ and their Subsidiaries’ operations, calculated in the manner set forth by Global Reporting Initiative 305-4 (previous G4-EN18) based on direct emissions from production facilities divided by the net production, and expressed as a ratio of grams of carbon dioxide to kilowatt hour (g CO2/kWh), as certified by the Borrowers.
Sustainability Amount means, for any period, the Company’s total Renewable Energy generation and supply (both generated and purchased) without duplication, measured in gigawatt hours, during such period, as reported in the Company’s annual report on Form 10-K (or any successor form) for such period filed with the SEC. For the avoidance of doubt, the Company is under no obligation to update the Sustainability Amount between the filing of the annual reports on Form 10-K (or any successor form), has no obligation to report the Sustainability Amount in the Company’s quarterly report on Form 10-Q (or any successor form), and is further under no obligation to advise of changes to the Sustainability Amount as a result of a business change throughout the year by or for the Company (other than any material inaccuracy of which it becomes aware as described in the definition ofApplicable Sustainability Adjustment” or Section 6.7(c)).
