Subject to the third sentence of this Section 1.4(h), if the Final Closing Working Capital Amount is more than the Target Working Capital Amount, then Buyer shall pay to PKI an amount equal to the difference between the Final Closing Working Capital Amount and the Target Working Capital Amount.
The Parties agree that the purpose of preparing the Closing Working Capital Statement pursuant to this Section 1.4(a) is to measure changes in Working Capital against the Target Working Capital Amount (as defined in Section 1.4(h)), and such processes are not intended to permit the introduction of different accounting methods, policies, principles, practices and procedures for the purposes of preparing the Closing Working Capital Statement or calculating the Closing Working Capital Amount.
