Successor Certificate definition

Successor Certificate. Of any particular Certificate, every Certificate issued after, and evidencing all or a portion of the same interest as that evidenced by, such particular Certificate; and, for the purposes of this definition, any Certificate authenticated and delivered under Section 6.4 in exchange for or in lieu of a mutilated, destroyed, lost or stolen Certificate shall be deemed to evidence the same interest as such mutilated, destroyed, lost or stolen Certificate.

Successor Certificate of any particular Trust Security means every Trust Security issued after, and evidencing all or a portion of the same equity interest as that evidenced by, such particular Trust Security; and for the purposes of this definition, any Trust Security authenticated and delivered under Section 5.09 in exchange for or in lieu of a mutilated, destroyed, lost or stolen Trust Security shall be deemed to evidence the same equity interest as the mutilated, destroyed, lost or stolen Trust Security.

Examples of Successor Certificate in a sentence

  • Pursuant to Section 3.02 of the Pooling Agreement, Citibank hereby represents and warrants that as of the date hereof it is eligible to serve as Successor Certificate Registrar under the provisions of Section 3.02 of the Pooling Agreement.
