Transferor Certificate definition

Transferor Certificate. As defined in Section 5.02(b).
Transferor Certificate has the meaning assigned in Section 2.04(a) of the Indenture.
Transferor Certificate means the certificate representing the interest in the Trust that is the right to receive any amounts available for distribution that are not allocable to the Notes and that is executed and authenticated in accordance with this Agreement substantially in the form attached to this Agreement as Exhibit B.

  • The Trustee shall be under no liability to any Person for any registration of Transfer of a Residual Certificate that is in fact not permitted by Section 5.02(b) and this Section 5.02(c) or for making any payments due on such Certificate to the Holder thereof or taking any other action with respect to such Holder under the provisions of this Agreement so long as the Transfer was registered after receipt of the related Transfer Affidavit, Transferor Certificate and the Rule 144A Letter.

More Definitions of Transferor Certificate

Transferor Certificate means the letter substantially in the form of Exhibit D and delivered pursuant to Section 2.14(a).
Transferor Certificate shall have the meaning specified in the Trust Agreement.
