Subscribing Group definition

Subscribing Group means a corporation, partnership, limited liability company or other legal entity (and its wholly-owned subsidiaries) that negotiates and agrees to contract for the Health Care Services and benefits provided herein for its eligible employees.

  • If a Member has questions about the group’s welfare plan, the Member should contact the Subscribing Group.

  • The term ‘Rate Letter’ refers to a compilation of documents which constitute AvMed's formal notice to the Subscribing Group of: (i) the Premium rates applicable to the Subscribing Group, (ii) the conditions under which the rates are valid, (iii) the Premium payment terms and due dates, and (iv) the additional charge which will apply to all late Premium payments.

  • The Subscribing Group may, if this Contract is not satisfactory for any reason, return this Contract within three days after receipt and receive a full refund of the deposit paid, if any, unless the services of AvMed were utilized during the three days.

  • The Subscribing Group may terminate this Group Contract on the anniversary date by giving written notice to AvMed 15 days prior to the Contract anniversary date.

  • Subscribing Group hereby represents that it has met the non-discrimination testing requirements under U.S. Code Section 105(h).

  • By executing this Contract, Subscribing Group and AvMed agree to make the Health Care Services and Hospital services specified herein available to persons who are eligible under the provisions of Part III.

  • In such event, benefits hereunder will terminate for all Members on the date specified by the Subscribing Group in their written notice to AvMed and for which the Premium was paid.

  • The delivery of benefits and services covered in this Contract will be subject to the provisions, Limitations and Exclusions set forth herein and any amendments, modifications and Contract termination provisions specified herein, and by the mutual agreement between AvMed and Subscribing Group, without the consent or concurrence of the Members.

  • The required minimum group enrollment is included in the Rate Letter (as defined in this Part) furnished to the Subscribing Group.

  • When this Contract is purchased by the Subscribing Group to provide benefits under a welfare plan governed by ERISA, AvMed will be considered a fiduciary to the extent that it performs any discretionary functions on behalf of the Plan.

  • Selling Group has the meaning ascribed thereto in Section 2.2;

  • The Subscribing Reinsurer s share in the attached Contract shall be separate and apart from the shares of the other reinsurers, and shall not be joint with the shares of the other reinsurers, it being understood that the Subscribing Reinsurer shall in no event participate in the interests and liabilities of the other reinsurers.

  • Purchasing group means any group which:

  • Purchaser’s Group means the Purchaser, its subsidiaries and subsidiary undertakings, any holding company of the Purchaser and all other subsidiaries of any such holding company from time to time;

  • Shareholder Group means (i) Shareholder and (ii) any Affiliate or Shareholder Family Entity (as defined in the Shareholder's Agreement) of Shareholder (other than the Company).

  • Steering Group means the Anti-Money Laundering Steering Group appointed pursuant to section 5;

  • Member means a member of the Board;

  • Investor Party has the meaning set forth in Section 4.7.

  • Investor is defined in the preamble to this Agreement.

  • Alliance Partner means "Flatworld Trading Pvt Ltd ", who has entered into an alliance agreement with Axis Bank for purpose of providing the Offer.

  • Stockholder Group means the Stockholder and each Person (other than any member of the Company Group) that is an Affiliate of the Stockholder.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Joint Steering Committee or “JSC” has the meaning set forth in Section 3.1.

  • Full Member means any person who is in one of the categories of membership referred to in Rule 10.3.

  • Initial Member has the meaning set forth in the introductory paragraph.

  • Shareholder Representative has the meaning set forth in the preamble.

  • Voting group means all shares of one or more classes or series that under the articles of incorporation or the Act are entitled to vote and be counted together collectively on a matter at a meeting of shareholders. All shares entitled by the articles of incorporation or the Act to vote generally on the matter are for that purpose a single voting group.

  • Participating Investor any Participating Account, Participating Insurance Company or Participating Plan, including the Account and the Company.

  • ☐ - MULTI-MEMBER The “Capital Account” for each Member shall mean the account created and maintained for the Member in accordance with Section 704(b) of the Internal Revenue Code and Treasury Regulation Section 1.704-1(b)(2)(iv).

  • Subscriber means the subscriber to the Memorandum.

  • Management Investor means any officer, director, employee or other member of the management of the Company or any of its Subsidiaries, or family members or relatives thereof, or trusts or partnerships for the benefit of any of the foregoing, or any of their heirs, executors, successors and legal representatives.

  • Partner Group means any legal entity that has direct or indirect Control over the Partner and only as long as that legal entity maintains direct or indirect Control (“Parent Companies”) as well as all Associated Companies of the Parent Companies.

  • Principal Stockholder means, collectively, (i) the Sponsor and (ii) any affiliate or successor of a person referenced in clauses (i) and (ii) of this definition.

  • Minority Shareholders means holders of Shares that were not tendered pursuant to the Offer or in the Subsequent Offering Period (as it may be extended by the Minority Exit Offering Period).

  • Majority Shareholder means a holder of more than fifty percent (50%) of the outstanding stock of the Company, or if no person holds more than fifty percent (50%) of the outstanding stock of the Company, the holder of a plurality of the outstanding stock of the Company.

  • Initial Members means those Persons whose names are set forth in the first sentence of this Agreement. A reference to an “Initial Member” means any of the Initial Members.
