Specified Indenture definition

Specified Indenture means (i) initially, the Nineteenth Supplemental Indenture dated April 4, 2006, supplementing the Senior Note Indenture, providing for the issuance of the Company’s 6-3/4% Series P Senior Notes due 2016 and 6-3/4% Series Q Senior Notes due 2016, and (ii) at any time that said Nineteenth Supplemental Indenture is the Governing Senior Note Indenture, the Thirty-Sixth Supplemental Indenture dated October 25, 2010, supplementing the Senior Note Indenture, providing for the issuance of the Company’s 6% Series U Senior Notes due 2020 and 6% Series V Senior Notes due 2020.
Specified Indenture means the Nineteenth Supplemental Indenture dated April, 2006, supplementing the Senior Note Indenture, providing the issuance of the Borrower’s 6-3/4% Series P Senior Notes due 2016 and 6-3/4% Series Q Senior Notes due 2016.
Specified Indenture means the indenture dated as of August 10, 2021 between the Excluded Escrow Subsidiary and Citibank, N.A., as the trustee, as amended, restated, amended and restated, supplemented, or otherwise modified in a manner that is not materially adverse to the Lenders, unless otherwise consented to in writing by the Administrative Agent.

More Definitions of Specified Indenture

Specified Indenture means the Indenture dated as of February 5, 1998, between Old United and Firstar Bank, N.A. (f/k/a Firstar Bank of Minnesota, N.A.), as in effect on May 1, 2001. "Standstill Agreement" means the Standstill Agreement to be entered into among the Corporation, Liberty Media Corporation, Liberty Media International, Inc., et al., as contemplated by the Merger Agreement. "Stockholders Agreement" means the Stockholders Agreement to be entered into among the Corporation, Liberty Media Corporation, Liberty Media International, Inc., the individuals designated as Founders therein, et al., as contemplated by the Merger Agreement.
Specified Indenture means the Indenture dated as of February 5, 1998, between the Corporation and Firstar Bank, N.A. (f/k/a Firstar Bank of Minnesota, N.A.).
Specified Indenture means an indenture to be dated after the Amendment No. 10 Effective Date and prior to Closing (as defined in the Specified Merger Agreement) between the Excluded Escrow Subsidiary and the trustee named therein, as amended, restated, amended and restated, supplemented, or otherwise modified in a manner that is not materially adverse to the Lenders, unless otherwise consented to in writing by the Administrative Agent.
Specified Indenture means the Indenture dated as of February 5, 1998, between Old United and Firstar Bank, N.A. (f/k/a Firstar Bank of Minnesota, N.A.), as in effect on May 1, 2001.

Related to Specified Indenture

  • Operative Indentures means, as of any date, each “Indenture” (as such term is defined in the Note Purchase Agreement), including the Indenture, whether or not any other “Indenture” shall have been entered into before or after the date of the Indenture, but only if as of such date all “Equipment Notes” (as defined in each such “Indenture”) are held by the “Subordination Agent” under the “Intercreditor Agreement”, as such terms are defined in each such “Indenture”.

  • Existing Indenture means the Indenture dated as of June 30, 1998 among General Partner, Prologis and U.S. Bank National Association (as successor in interest to State Street Bank and Trust Company of California, N.A.), as Trustee.

  • Senior Note Indenture the Indenture entered into by Holdings, the Borrower and certain of its Subsidiaries in connection with the issuance of the Senior Notes, together with all instruments and other agreements entered into by Holdings, the Borrower or such Subsidiaries in connection therewith.

  • Subordinated Note Indenture means the Indenture dated as of the Closing Date, among the Borrower, the guarantors party thereto and The Bank of New York, as trustee, pursuant to which the Subordinated Notes are issued, as the same may be amended, supplemented or otherwise modified from time to time to the extent permitted by Section 10.7(b).

  • Existing Senior Notes Indentures means, the indentures governing the Existing Senior Notes, each as may be amended or supplemented from time to time.

  • New Securities Indenture means an indenture between the Company and the New Securities Trustee, identical in all material respects to the Indenture (except that the interest rate step-up provisions will be modified or eliminated, as appropriate).

  • Senior Subordinated Indenture means the Indenture, dated as of August 30, 2007, among the Company, the subsidiary guarantors party thereto from time to time and Xxxxx Fargo Bank, National Association, as trustee, governing the 13.5% Senior Subordinated Notes due 2015 of the Company, as the same may be amended, supplemented, waived or otherwise modified from time to time.

  • Original Indenture has the meaning specified in the first paragraph of this Supplemental Indenture.

  • Second Supplemental Indenture has the meaning set forth in the preamble hereto.

  • Third Supplemental Indenture has the meaning set forth in the Recitals.

  • Existing Senior Notes Indenture means that certain Indenture dated as of March 16, 2011, by and between the Borrower, as issuer, and Xxxxx Fargo Bank, National Association, as trustee, as amended, restated, supplemented, renewed or extended or otherwise modified from time to time to the extent permitted by Section 7.15.
