Sound Level Guarantee definition

Sound Level Guarantee means the maximum sound power level emitted from a Unit as set forth in Appendix A.
Sound Level Guarantee means the sound level limits set forth in Exhibit D-1.
Sound Level Guarantee means the sound level performance criteria for the Facility set forth in Exhibit A.

Examples of Sound Level Guarantee in a sentence

  • If any Unit fails to meet the Sound Level Guarantee, the Seller shall at its option and at its sole cost and expense either (a) take such corrective action as will cause such Unit to achieve the guaranteed sound level, including adjustments to controls or operating parameters, or (b) with the Buyer’s consent, effect a release or other settlement of any claims (whether for nuisance or otherwise) from cognizant governmental authorities and persons directly affected by the sound level at the Unit.

  • When tested in accordance with this Contract and the Technical Specifications, and subject to the conditions therein specified, the Seller guarantees that the sound emitted from each Unit during the Warranty Period shall not exceed the Sound Level Guarantee set forth in Appendix A.

  • If Buyer demonstrates that any Turbine other than an Initial Turbine fails to meet the Sound Level Guarantee, Turbine Supplier shall take such corrective action will result in the Turbine achieving the guaranteed sound level, including adjustments to controls or operating parameters.

  • If Turbine Supplier is unable to make such repairs, modifications or adjustments to the Turbines other than the Initial Turbines as are necessary to cause the Turbines to meet the Sound Level Guarantee, Buyer shall pay liquidated damages at an agreed rate per MW per Turbine, rounded to the nearest 0.01 MW, for the amount by which the operating levels of the Turbines must be reduced in order to comply with the Sound Level Guarantee.

  • The Contractor shall conduct the Sound Level Test to demonstrate the capability of the Facility to meet the Sound Level Guarantee.

  • The measured sound pressure level, after corrections for background noise, shall be used to determine compliance with Sound Level Guarantee.

  • In the event Buyer doubts a Turbine’s (other than an Initial Turbine’s) compliance with the Sound Level Guarantee, Buyer may, at is option, have the sound level measured by an accredited test laboratory in accordance with the testing guidelines established in the Technical Specifications.

Related to Sound Level Guarantee

  • Financial guarantee means a performance bond, maintenance bond, surety bond, irrevocable letter of credit, or similar guarantees submitted to the [administering authority] by the responsible party to assure that requirements of the ordinance are carried out in compliance with the storm water management plan.

  • Parent Guarantee means the guarantee of payment of the Securities by the Parent Guarantor pursuant to the terms of this Indenture.

  • Sound level meter means an instrument which includes a microphone, amplifier, RMS detector, integrator or time averager, output meter, and weighting networks used to measure sound pressure levels.

  • Sound level means the A-weighted Sound Pressure Level;

  • Performance Guarantee means the security to be provided by the Contractor in accordance with Sub Clause 10.1 for the due performance of the Contract.

  • Permitted SBIC Guarantee means a guarantee by the Borrower of Indebtedness of an SBIC Subsidiary on the SBA’s then applicable form, provided that the recourse to the Borrower thereunder is expressly limited only to periods after the occurrence of an event or condition that is an impermissible change in the control of such SBIC Subsidiary (it being understood that, as provided in clause (s) of Article VII, it shall be an Event of Default hereunder if any such event or condition giving rise to such recourse occurs).

  • Swap Guarantee If so specified in the Supplement with respect to any Series, the guarantee issued by the Swap Guarantor in favor of the Trust substantially in the form attached as an exhibit to the Swap Agreement.

  • Performance Bank Guarantee means the irrevocable unconditional bank guarantee to be submitted by the successful bidder as per the RfS.

  • Management Guarantees means guarantees (x) of up to an aggregate principal amount outstanding at any time of $25.0 million of borrowings by Management Investors in connection with their purchase of Management Stock or (y) made on behalf of, or in respect of loans or advances made to, directors, officers, employees or consultants of any Parent, the Company or any Restricted Subsidiary (1) in respect of travel, entertainment and moving-related expenses incurred in the ordinary course of business, or (2) in the ordinary course of business and (in the case of this clause (2)) not exceeding $10.0 million in the aggregate outstanding at any time.

The amount of any Guarantee shall be deemed to be an amount equal to the stated or determinable amount of the related primary obligation, or portion thereof, in respect of which such Guarantee is made or, if not stated or determinable, the maximum reasonably anticipated liability in respect thereof as determined by the guaranteeing Person in good faith. The term “Guarantee” as a verb has a corresponding meaning.

  • Guarantee Agreement means this Guarantee Agreement, as modified, amended or supplemented from time to time.
