Share Deferral Award definition

Share Deferral Award means an award of Shares made to a Participant pursuant to the Stock Incentive Plan which the Board of Directors (or compensation committee of the Board of Directors) has designated as being covered under and subject to the terms of the Plan (including any award of Shares made to a Participant pursuant to the Stock Incentive Plan that was originally deferred under the Senior Executive Deferred Compensation Plan, but which the Board of Directors (or compensation committee of the Board of Directors) has designated as being covered under and subject to the terms of the Plan as of the Effective Date).

  • A Share Deferral Account shall be established by the Administrator under the Plan in the name of each Participant with respect to each of the Participant's Share Deferral Awards, which shall initially be credited with units equal to the number of Shares underlying each such Share Deferral Award.

Related to Share Deferral Award

  • Annual Award means the cash payment paid or payable to the Executive with respect to a fiscal year under the Corporation's Incentive Compensation Performance Plan.

  • Bonus Deferral means the amount of a Participant’s Bonus Compensation which the Participant elects to have withheld on a pre-tax basis from his Bonus Compensation and credited to his account pursuant to Section 4.1.

  • Final Award means, in the context of this Request for Proposals and all its attendant documents, that point at which the final required signature on the contract(s) resulting from the procurement has been affixed to the contract(s) thus making it fully executed.

  • Incentive Award means the right to receive a cash payment to the extent Performance Goals are achieved, and shall include “Annual Incentive Awards” as described in Section 10 and “Long-Term Incentive Awards” as described in Section 11.

  • Deferral Contribution means any contribution made to the Plan by the Employer in accordance with the provisions of Section 5.03.

  • Performance Unit Award means an award of Performance Units under this Plan.

  • Deferred Stock Unit means a right granted to a Participant under Article 9 to receive Shares (or the equivalent value in cash or other property if the Committee so provides) at a future time as determined by the Committee, or as determined by the Participant within guidelines established by the Committee in the case of voluntary deferral elections.

  • Performance Compensation Award means any Award designated by the Committee as a Performance Compensation Award pursuant to Section 11 of the Plan.

  • Performance Share Unit or “PSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 6;

  • Compensation Deferral means the amount or amounts of the Director's Compensation deferred under the provisions of Section 3 of this Agreement.

  • Performance Share Award means an Award entitling the recipient to acquire shares of Stock upon the attainment of specified Performance Goals.
