SERP Member definition

SERP Member means an employee of a Participating Employer who has satisfied the eligibility requirements under the Retirement Plan, and who satisfies each of the following criteria: (a) is determined by the Company to be a member of a select group of management or highly compensated employees within the meaning of sections 201(2), 301(a)(3) and 401(a)(1) of ERISA; and (b) is designated by the Company as an employee who may participate in the Plan.
SERP Member means an individual described in Section III of the Supplemental Plan, who has satisfied the eligibility requirements under the Retirement Plan and has been designated by the Company as being eligible to receive benefits hereunder.

Examples of SERP Member in a sentence

  • For each calendar year after 2012, the Annual Contribution Credit for the year shall only be determined with respect to the period of that calendar year throughout which the DC SERP Member meets the eligibility requirements as defined in Section 2.15.

  • SERP Member shall mean a Participant who has satisfied the eligibility conditions for participation in the Agrium 2006 U.S. Supplemental Executive Retirement Plan.

  • Notwithstanding any other provision of the Plan, no Employer nor any employee or agent of an Employer shall be liable to any SERP Member, Beneficiary or other person for any claim, loss, liability or expense incurred in connection with the Plan.

  • For a SERP Member who has a Separation from Service on or after January 1, 2005, the Supplemental Retirement Benefit actually payable to the SERP Member shall be calculated with reference to the SERP Member’s actual Basic Retirement Benefit, determined at the time of the SERP Member’s Separation from Service from the Participating Employer, regardless of whether the SERP Member elects to commence the receipt of benefits from the Retirement Plan.

  • Neither this Plan, the SERP Committee, the Participating Employers nor the Company shall be liable in any manner to any person, including the SERP Member, SERP Member’s spouse, or SERP Beneficiary, for complying with any such court order or judgment.

  • The SERP Member and his or her SERP Beneficiary shall be unsecured general creditors of such Participating Employer with no special or prior right to any assets of the Participating Employer for payment of any obligations hereunder.

  • Former Partner means (i) with respect to a Partner that is a trust, a Partner that has ceased to be a Qualified Trust, and has become a Former Partner, pursuant to the terms of Section 1.78; (ii) with respect to a Partner that is an Entity, a Partner that has ceased to be a Qualified Entity, and has become a Former Partner, pursuant to the terms of Section 1.18; (iii) a Partner that has become a Bankrupt Partner and a Former Partner, pursuant to the terms of Section 1.7; (iv) a Partner that has become a Pledgor Partner and a Former Partner, pursuant to the terms of Section 1.74; and (v) a Partner that ceases to be a Participating Stockholder with respect to the Class B Shares of each Company in which the Partnership owns Class B Shares.

  • Contributing Employer means any employer other than a reimbursing employer or rated governmental employer.

  • Former Member means a member that has withdrawn from a qualified authority under this section or a prior member of a qualified authority that has been dissolved under this section.

  • Contributing Partner means each Partner contributing (or deemed to have contributed on termination and reconstitution of the Partnership pursuant to Section 708 of the Code or otherwise) a Contributed Property.

  • Individual Member means a registered, financial Member of the Club who is at least 18 years of age.

  • Member Company means a “service recipient” as defined in Treasury Regulation § 1.409A-1(h)(3).

  • Corporate Partner means a Partner that is subject to tax under [reference to State law].

  • Retired member means any former member receiving a retirement allowance or any former member who has filed the necessary documents for retirement benefits and is no longer contributing to the retirement system;

  • Founder Member means a subscriber to these rules for the purposes of registration;

  • Named Executive means any individual who, on the last day of the Company’s fiscal year, is the chief executive officer of the Company (or is acting in such capacity) or among the four most highly compensated officers of the Company (other than the chief executive officer). Such officer status shall be determined pursuant to the executive compensation disclosure rules under the Exchange Act.
