Seller Fundamental Representations definition

Seller Fundamental Representations means the representations and warranties set forth in Section 6.1 (Organization, Good Standing and Qualification of Seller), Section 6.2 (Authorization; Enforceability), Section 6.10 (Title to Purchased Assets) and Section 6.26 (Brokerage Commission).

Seller Fundamental Representations has the meaning set forth in Section 7.1.

Seller Fundamental Representations means the representations and warranties set forth in Section 3.1(a), Section 3.1(b), Section 3.2, Section 3.4, Section 3.10 and Section 3.17(b).

Examples of Seller Fundamental Representations in a sentence

All of the representations and warranties contained in this Agreement and the certificates delivered pursuant to this Agreement, as well as any Liability of Seller under Section 9.1(a)(v), shall survive the Closing until the Escrow Termination Date; provided, however, that the Seller Fundamental Representations and the Purchaser Fundamental Representations shall survive the Closing until the expiration of the applicable statute of limitations.

Seller Fundamental Representations has the meaning set forth in Section 10.1.

Seller Fundamental Representations means the representations and warranties of Seller set forth in Section 3.1 (Organization and Related Matters), Section 3.2(a) (Authority; No Violation), Section 3.5 (No Broker), Section 3.10 (Title) and Section 3.15 (Bankruptcy and Solvency).

Seller Fundamental Representations means the representations and warranties of Seller set forth in Sections 4.1(a), 4.1(b), 4.1(c), 4.1(d)(i), 4.9 and 4.10.

Seller Fundamental Representations means those representations and warranties contained in Sections 4.1 (Organization and Good Standing), 4.2 (Authorization; Conflicts) (but only to the extent such representations and warranties are made with respect to the organizational documents of the Company or any Subsidiary), 4.3 (Enforceability), 4.4 (Capitalization), 4.5 (Subsidiaries), 4.6(e), (Indebtedness) and 4.24 (No Brokers).

Seller Fundamental Representations means the representations and warranties made in Section 3.01 (Incorporation, Qualification and Authority of the Seller), Section 3.02 (Incorporation, Qualification and Authority of the Company and the Transferred Subsidiaries) only to the extent applicable to the Company, Section 3.03(a) and (b) (Capital Structure of the Company and the Transferred Subsidiaries, Ownership and Transfer of Shares), Section 3.04(a) (No Conflict) only to the extent applicable to the Seller or the Company and Section 3.35 (Brokers).

Seller Fundamental Representations means the representations and warranties set forth in Section 2.1, Section 2.2, Section 2.3, Section 2.5, Section 2.6 and Section 2.7.

Seller Fundamental Representations means the representations and warranties of Seller contained in Sections 5.1, 5.2 and 5.15.
