Any Representation (or, in the context of a Major Default, any Major Representation) is or proves to have been incorrect or misleading in any material respect when made or deemed to be made.
Notwithstanding the foregoing, no Buyer Group Member shall assert any claim for a breach of any representation or warranty (other than any Fundamental Representation or Major Representation) for so long as the only portion of the Purchase Price that has been paid is the Initial Purchase Price.

Major Representation shall be defined to mean a representation or warranty with respect to the Original Obligors only (and excluding any procurement obligations on the part of the Original Obligors with respect to any other member of the Group or the Target Group) under any of paragraphs (a) (Status) to (e) (Validity and admissibility in evidence) (inclusive) and paragraph (p) (Anti-Corruption Law and Sanctions) in each case of Section 5.30 (Representations) to this term sheet.
