Parent Fundamental Representations definition
Parent Fundamental Representations means the representations and warranties of Parent set forth in Section 5.1 (Corporate Existence and Power), Section 5.3 (Corporate Authorization), Section 5.6 (Finders’ Fees), Section 5.7 (Issuance of Shares), and Section 5.8 (Capitalization).
Parent Fundamental Representations means the representations and warranties of Parent and Merger Sub set forth in Sections 3.1(a) (Due Organization; Subsidiaries), 3.3 (Authority; Binding Nature of Agreement), 3.4 (Vote Required) and 3.18 (No Financial Advisors).
Parent Fundamental Representations has the meaning set forth in Section 7.1.

The Parent Fundamental Representations shall have been true and correct in all material respects as of the date of this Agreement and shall be true and correct on and as of the Closing Date with the same force and effect as if made on and as of such date (except to the extent such representations and warranties are specifically made as of a particular date, in which case such representations and warranties shall be true and correct as of such date).
More Definitions of Parent Fundamental Representations
Parent Fundamental Representations means the representations and warranties of the Parent set forth in Sections 4.01, 4.02 and 4.06.
Parent Fundamental Representations means each of the representations and warranties of Parent and Merger Sub set forth in Section 5.1, Section 5.2, Section 5.3, Section 5.4 and Section 5.25.
Parent Fundamental Representations means Section 5.1 (Organization, Standing and Power), Section 5.3(a) and (b)(i) (Authority; No Violations; Consents and Approvals) and Section 5.20 (Brokers).
Parent Fundamental Representations means the representations and warranties set forth Section 4.2 (Due Organization), 4.3(a) (Parent and Merger Sub Authorization), 4.4 (Capitalization) (other than 4.4(a)) and 4.8 (Brokers and Agents).
Parent Fundamental Representations means the representations and warranties made pursuant to Section 5.01, Section 5.02, Section 5.03(a) and Section 5.05 of this Agreement.
Parent Fundamental Representations means the representations and warranties set forth in Section 4.1 (Organization, Power and Standing), Section 4.2 (Authorization), Section 4.3.3 (No Violation of Legal Requirement or Governmental Order), Section 4.3.4 (No Violation of Organizational Documents) and Section 4.5 (Brokers); provided that the representations and warranties set forth in Section 4.5 (Brokers) shall not constitute a Parent Fundamental Representation for purposes of the condition set forth in Section 6.1.
Parent Fundamental Representations means the representations and warranties contained in Section 4.1 (Organization and Power), Section 4.2 (Capitalization), Section 4.3(a) (Authorization), Section 4.4 (Subsidiaries) and Section 4.6 (Brokerage and Transaction Bonuses).
