Definition of Tax Representations


Tax Representations means the representations and warranties by the Company contained in Section 3.18.

Tax Representations means the representations and warranties in (i) Section 5.12 (Taxes) and (ii) Section 5.13 (Tax Partnerships).

Examples of Tax Representations in a sentence

With respect to paragraph (iii) above, each party agrees to make such Payee Tax Representations and Payer Tax Representations as may reasonably be requested by the other party in order to reasonably satisfy such other party that such withholding or deduction will not occur.
These letters consist of: (i) a letter delivered by Acquired Fund entitled "Acquired Fund Common Tax Representations," (ii) a letter delivered by Acquiring Fund entitled "Acquiring Fund Common Tax Representations," and (iii) a joint letter from both Funds.
