Definition of Tax Representations


Tax Representations means the representations and warranties by the Company contained in Section 3.18.


Tax Representations means the representations and warranties in (i) Section 5.12 (Taxes) and (ii) Section 5.13 (Tax Partnerships).

Examples of Tax Representations in a sentence

With respect to paragraph (iii) above, each party agrees to make such Payee Tax Representations and Payer Tax Representations as may reasonably be requested by the other party in order to reasonably satisfy such other party that such withholding or deduction will not occur.
With respect to paragraph (ii) above, each party agrees to make such Payee Tax Representations and Payer Tax Representations as may reasonably be requested by the other party in order to reasonably satisfy such other party that such withholding or deduction will not occur and that no deductibility issues will arise.
With respect to payments made to Barclays which are effectively connected to the U.S.: Each payment received or to be received by it in connection with this Agreement will be effectively connected with its conduct of a trade or business in the U.S. Counterparty Payee Tax Representations.
For the purpose of Section 3(f) of the Agreement, (i) Cap Provider makes no Payee Tax Representations.
All representations and warranties contained in this Agreement will survive for 18 months after the Closing Date; provided, however, that the (a) representations and warranties under Section 3.12 (Taxes) (the Tax Representations) shall survive the Closing for the applicable Tax statute of limitations and any extension or waivers thereof in effect at Closing, plus 30 days and (b) the Fundamental Representations and Warranties (other than the Tax Representations) and Fraud Claims shall survive indefinitely.
