Fundamental Representations definition

Fundamental Representations has the meaning set forth in Section 8.1.
Fundamental Representations means the representations and warranties set forth in Sections 2.1 (Organization; Power and Authority), 2.3(a) (Assets), 2.9 (Government Reimbursement Participation; Health Care Law Compliance), and 2.14 (Environmental Matters).
Fundamental Representations has the meaning set forth in Section 7.4(a).

Examples of Fundamental Representations in a sentence

  • Any claims by Sellers for indemnification must be presented by Sellers to Buyer in writing in accordance with Section 6.5 within thirty-six (36) months after the Closing Date, except for any claim relating to a breach of the Buyer Fundamental Representations, which must be presented by Sellers to Buyer in writing in accordance with Section 6.5 within forty-eight (48) months after the Closing Date.

Fundamental Representations has the meaning set forth in Section 10.1(a).

Fundamental Representations means the representations and warranties contained in Sections 3.1, 3.2, 3.5, 4.1, 4.2, 5.1, 5.2 and 5.5.
Fundamental Representations shall have the meaning set forth in Section 7.1.
Fundamental Representations means the representations and warranties set forth in Section 4.1 (first and fourth sentences only), Section 4.2, Section 4.3, Section 4.4, Section 4.25 and the last sentence of Section 4.30.
