Fundamental Representations definition
Fundamental Representations has the meaning set forth in Section 8.1.
Fundamental Representations means the representations and warranties set forth in Sections 2.1 (Organization; Power and Authority), 2.3(a) (Assets), 2.9 (Government Reimbursement Participation; Health Care Law Compliance), and 2.14 (Environmental Matters).
Fundamental Representations has the meaning set forth in Section 7.4(a).
Examples of Fundamental Representations in a sentence
Subject to the limitations and other provisions of this Agreement, the representations and warranties contained herein (other than any representations or warranties contained in Section 5.17, which are subject to ARTICLE IX) shall survive the Closing and shall remain in full force and effect until the date that is twenty-four (24) months from the Closing Date; provided, that the Company Fundamental Representations shall survive indefinitely.

Fundamental Representations means, with respect to the Seller, the representations and warranties contained in Section 3.1 (Organization), Section 3.2 (Validity of Agreement; Authorization), Section 3.5 (Ownership of the Subject Interests), Section 3.6 (Brokers), Section 4.1 (Organization) and Section 4.5 (MLP Capitalization; General Partner Interests), and with respect to the Acquiror Parties, the representations and warranties contained in Section 5.1 (Organization), Section 5.2 (Validity of Agreement; Authorization) and Section 5.5 (Brokers).
Fundamental Representations means the representations and warranties of Seller set forth in Section 4.1, Section 4.2, Section 4.3(a)(i), Section 4.3(b)(i), Section 4.3(c)(i), Section 4.15, Section 4.16 and Section 4.17.
Fundamental Representations means the representations and warranties contained in Sections 3.1, 3.2, 3.5, 4.1, 4.2, 5.1, 5.2 and 5.5.
Fundamental Representations means the respective representations and warranties set forth in Section 4.1(a) and (b), Section 4.2, Section 4.3, Section 4.15, Section 5.1, Section 5.2, Section 5.4, Section 6.2, Section 6.3 and Section 6.4.
