Fundamental Representations definition
Fundamental Representations has the meaning set forth in Section 8.1.
Fundamental Representations means the representations and warranties set forth in Sections 2.1 (Organization; Power and Authority), 2.3(a) (Assets), 2.9 (Government Reimbursement Participation; Health Care Law Compliance), and 2.14 (Environmental Matters).

Examples of Fundamental Representations in a sentence
Any claims by Sellers for indemnification must be presented by Sellers to Buyer in writing in accordance with Section 6.5 within thirty-six (36) months after the Closing Date, except for any claim relating to a breach of the Buyer Fundamental Representations, which must be presented by Sellers to Buyer in writing in accordance with Section 6.5 within forty-eight (48) months after the Closing Date.

Fundamental Representations means the representations and warranties contained in Sections 3.1, 3.2, 3.5, 4.1, 4.2, 5.1, 5.2 and 5.5.
