Secured Other Facilities means any Permitted Lender Facility that is entered into by and between the Company or any Subsidiary of the Company and any Secured Facility Bank; provided that (a) no Permitted Lender Facility shall be a Secured Other Facility unless the Administrative Agent has received written notice thereof, together with such supporting documentation as the Administrative Agent may request; and (b) any such Permitted Lender Facility shall cease to be a Secured Other Facility if the Administrative Agent receives written notice thereof, in each case such notice to be provided by the Company and the applicable Secured Facility Bank in accordance with Section 8.02.

Secured Other Facilities means any Permitted Lender Facility that is entered into by and between a Loan Party and any Secured Facility Bank; provided that (a) no Permitted Lender Facility shall be a Secured Other Facility unless the Administrative Agent has received written notice thereof, together with such supporting documentation as the Administrative Agent may request; and (b) any such Permitted Lender Facility shall cease to be a Secured Other Facility if the Administrative Agent receives written notice thereof, in each case such notice to be provided by the Company and the applicable Secured Facility Bank in accordance with Section 8.02.

Secured Other Facilities each and any of the following provided to any Borrower, any Guarantor or any other Subsidiary of Company by any Lender or any of its Affiliates: (a) the following bank services (collectively, the “Bank Services”): (i) credit cards for commercial customers (including, without limitation, commercial credit cards and purchasing cards), (ii) stored value cards, and (iii) treasury management services (including, without limitation, controlled disbursement, automated clearinghouse transactions, return items, overdrafts and interstate depository network services), and (b) any Indebtedness owing by any Subsidiary of Company, and guaranteed by Company, provided, that no such Indebtedness under (b) hereof shall constitute a portion of the Secured Other Facilities unless the Administrative Agent has received written notice thereof, together with such supporting documentation as the Administrative Agent may request, and such Indebtedness shall cease to constitute a portion of the Secured Other Facilities if the Administrative Agent receives written notice to such effect, in each case such notice to be provided by the Company and the applicable Lender or Affiliate.

Examples of Secured Other Facilities in a sentence

Notwithstanding the foregoing, Designated Hedge Agreements and Bank Services (as defined within the definition of Secured Other Facilities) shall be excluded from the application above if the Administrative Agent has not received written notice thereof from the applicable Lender or Affiliate of a Lender, prior to any such application of payments and amounts.

Related to Secured Other Facilities

Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.
Security Documents means the Security Agreement, the Mortgages, the Intellectual Property Security Agreement, the Pledge Agreement, the Facility Guarantee, and each other security agreement or other instrument or document executed and delivered pursuant to this Agreement or any other Loan Document that creates a Lien in favor of the Collateral Agent to secure any of the Obligations.
Secured Cash Management Obligations means Obligations under Secured Cash Management Agreements.
Hedge Agreements means interest rate swap, cap or collar agreements, interest rate future or option contracts, currency swap agreements, currency future or option contracts and other similar agreements.
ABL Loan Documents means the “Loan Documents” as defined in the ABL Credit Agreement.
