Scripps Services definition

Scripps Services means the transition services Scripps shall provide, through the Scripps Service Providers, to the Newco Group as set forth in Schedule 1.01(d) attached hereto and any addenda thereto as contemplated in Section 2.03.

  • Notwithstanding anything contained in this Agreement, Scripps’ obligations hereunder to provide the Scripps Services that require third party Intellectual Property are subject to such third party granting the applicable members of the Scripps Group a valid and enforceable license (or waiving the requirement to obtain a license) to use its Intellectual Property for the purposes described herein.

  • Attached hereto as Schedule 5.01 is a list of required Consents for any third party Software or other Intellectual Property known to be related to, and necessary for, the provision of the Scripps Services and an estimate of charges to be imposed by third party software providers.

  • Newco shall, and shall cause the other members of the Newco Group to, provide to the Scripps Service Providers reasonable access to the premises of the members of the Newco Group and the systems, software and networks located therein, to the extent necessary for the purpose of providing the Scripps Services.

Related to Scripps Services

  • Goods/Services means the goods and/or services detailed in the Purchase Order issued by Versuni Supplier; “Intellectual Property Rights” (or “IPR”) means all intellectual property rights of any nature applied for or existing anywhere in the world for their full term and together with any revivals, renewals or extensions. “Purchase Order” means the Versuni purchase order issued by Versuni to procure Goods/Services from the Supplier, to which these conditions are attached by reference;;

  • SaaS Services means software as a service consisting of system administration, system management, and system monitoring activities that Xxxxx performs for the Tyler Software, and includes the right to access and use the Tyler Software, receive maintenance and support on the Tyler Software, including Downtime resolution under the terms of the SLA, and Data storage and archiving. SaaS Services do not include support of an operating system or hardware, support outside of our normal business hours, or training, consulting or other professional services. • “SLA” means the service level agreement. A copy of our current SLA is attached hereto as Exhibit C.

  • Products/Services means the goods/benefits/facilities offered by the Alliance Partner.

  • Company Services means any services (including but not limited to technical and product support, technical advice, underwriting and customer services) supplied by the Company or its Affiliates in the specialty property and/or casualty insurance business.

  • Wireless services means any services, provided using licensed or unlicensed spectrum, including the use of Wi-Fi, whether at a fixed location or mobile.

  • Pharmacy services means the practice of pharmacy as defined in chapter 18.64 RCW and includes any drugs or devices as defined in chapter 18.64 RCW.

  • Home health aide services means the personal care and maintenance activities provided to individuals for the purpose of promoting normal standards of health and hygiene.

  • Wireless services provider means a person who provides wireless services.

  • Services plan means a written statement that describes the special education and related services the school district will provide to a parentally-placed child with a disability enrolled in a private school located in the district, including the location of the services and any transportation necessary, consistent with 34 CFR §§ 300.132, 300.137-139.

  • Program services means services that include all of the following provided they are pursuant to a program agreement: program needs assessment and development, job task analysis, curriculum development and revision, instruction, instructional materials and supplies, computer software and upgrades, instructional support, administrative and student services, related school to career training programs, skill or career interest assessment services and testing and contracted services.

  • Sprint means a set period of time during which specific work is realized and made ready for review.
