SciQuest definition

SciQuest has the meaning ascribed to it in the forepart of this Agreement.
SciQuest. Dupont Pharmaceuticals Company- "Dupont" Relationship: Dupont shall use SciQuest as its exclusive third party direct laboratory products electronic aggregator for North America . In addition, Dupont shall not enter into any agreement with a third party to serve as a third party direct laboratory products electronic aggregator in any territory outside of North America unless Dupont shall have first notified SciQuest of such opportunity and shall have negotiated in good faith for SciQuest to act as its third party direct laboratory products electronic aggregator in such territory. Dupont shall use SciQuest as its exclusive third party electronic channel for marketing and selling its used, refurbished and surplus scientific equipment through an electronic distribution system. Dupont reserves the right to purchase goods directly from vendors if, at Dupont's sole discretion, it deems necessary; provided however that SciQuest is given reasonable notice and an opportunity to provide services that would satisfy Dupont's requirements. Term: 3 years. Dupont Purchasing Site SciQuest shall create, develop, and maintain a private purchasing site accessible by Dupont at no cost to Dupont (the "Buyer Site"). The Buyer Site shall be a customer specific version of the SciQuest Marketplace. SciQuest shall have control over the development of the Buyer Site subject to Dupont's approval. SciQuest shall integrate the Buyer Site with the enterprise procurement application chosen and implemented by Dupont as reasonably requested by Dupont.
SciQuest. The Dow Chemical Company - "Dow" Exclusivity: Dow shall use SciQuest as its exclusive third party direct laboratory products electronic aggregator for North America. As such, Dow shall not, directly or indirectly use any other person or firm for its third party direct scientific and laboratory products electronic aggregator other than SciQuest or a party designated by SciQuest as a SciQuest strategic partner or affiliate (the "Exclusivity Arrangement"). In addition, Dow shall not enter into any agreement with a third party to serve as a third party direct laboratory products electronic aggregator in any territory outside of North America unless Dow shall have first notified SciQuest of such opportunity and shall have negotiated in good faith for SciQuest to act as its exclusive third party direct laboratory products electronic aggregator in such territory. SciQuest shall also be Dow's exclusive third party electronic channel for marketing and selling its used, refurbished and surplus scientific equipment through an electronic distribution system. Term: 3 years.

Related to SciQuest

  • The Company means save as otherwise defined at Article 6.9 the company intended to be regulated by these Articles and referred to in Article 2;

  • ATS means an alternative trading system, as defined in Rule 300(a)(1) of Regulation ATS under the Exchange Act.

  • Company has the meaning set forth in the Preamble.

  • Accenture means the Accenture entity that is a party to the Agreement and its Affiliates (collectively, “Accenture”).

  • Apple means Apple Inc., a California corporation with its principal place of business at Xxx Xxxxx Xxxx Xxx, Xxxxxxxxx, Xxxxxxxxxx 00000, U.S.A.

  • BTCo means Bankers Trust Company, in its individual capacity, and any successor corporation thereto by merger, consolidation or otherwise.

  • Insight as used in this clause, means technical visibility into the Program, maintained through audit, surveillance, assessment of trends and metrics, software independent verification and validation, the flight readiness review process, and review or independent assessment of out-of-family anomalies occurring in any phase of the program.

  • MSC means Xxxxxx Shopping Centre Pty. Limited, its successors and permitted assigns;

  • APC means the Ambulatory Payment Classification system under 42 CFR 419.31 used by Medicare for grouping clinically and resource-similar procedures and services.

  • Dell means Dell Inc., a Delaware corporation.

  • BSC means the Balancing and Settlement Code designated by the Secretary of State with the approval of the Authority;

  • Sage means The Sage Group plc or an Affiliate thereof.

  • Shire means Shire of Augusta Margaret River

  • LSI means Large Scale Industry

  • NPS means nominal pipe size.

  • Constellation has the meaning assigned to that term in the Recitals.

  • IDT means intradepartmental transfer.

  • ESMP means an environmental and social management plan (including any pest management plan), acceptable to the Association and consistent with the ESMF, adopted for the purposes of a Micro-project, and giving details of the magnitude of the environmental impacts, as well as the specific actions, measures and policies designed to facilitate the achievement of the objective of the ESMF under the Micro-project, including the budget and cost estimates, and sources of funding, along with the institutional and procedural measures needed to implement such actions, measures and policies, as such ESMP may be amended form time to time with the prior written agreement of the Association.

  • NCI means the National Cancer Institute.
