Rollover Manager definition

Rollover Manager means each Manager that purchased or otherwise acquired Company Shares in exchange for shares of common stock or options of J. Crew held by such Manager immediately prior to the Merger or shares purchased for cash in connection with the Merger.
Rollover Manager has the meaning ascribed to such term in the Management Stockholders’ Agreement.

Examples of Rollover Manager in a sentence

  • Crew or any of their respective subsidiaries, “Newly Issued Securities”), the Company shall provide written notice to each Rollover Manager of such anticipated issuance no later than fifteen (15) Business Days prior to the anticipated issuance date (the “Preemptive Rights Notice”).

  • Each Rollover Manager shall have the right to purchase up to its Pro Rata Portion of such Newly Issued Securities at the price and on the terms and conditions specified in the Preemptive Rights Notice by delivering an irrevocable written notice to the Company no later than five (5) Business Days before the anticipated issuance date, setting forth the number of such Newly Issued Securities for which such right is exercised.

  • Such notice shall also include the maximum number of Newly Issued Securities such Rollover Manager would be willing to purchase in the event any other Stockholder with preemptive rights and entitled to participate elects to purchase less than its Pro Rata Portion of such Newly Issued Securities.

  • Rollover Unit holder shall be defined as set forth in Section 5.05, herein."

  • Rollover Shareholders means each of Expert Master Holdings Limited, Mr. Longhua Piao and UMW China Ventures (L) Ltd.

  • Rollover means the renewal of all or any part of any LIBOR Rate Loan upon the expiration of the Interest Period with respect thereto, pursuant to Section 2.3.

  • Investment adviser representative means an individual employed by or associated with an investment adviser or federal covered investment adviser and who makes any recommendations or otherwise gives investment advice regarding securities, manages accounts or portfolios of clients, determines which recommendation or advice regarding securities should be given, provides investment advice or holds herself or himself out as providing investment advice, receives compensation to solicit, offer, or negotiate for the sale of or for selling investment advice, or supervises employees who perform any of the foregoing. The term does not include an individual who:

  • Rollover Shares has the meaning given in the recitals.

  • Partnership Representative has the meaning set forth in Section 5.2(a).

  • Investment Manager or “Manager” shall mean a party furnishing services to the Trust pursuant to any contract described in Section 4.8 hereof;

  • Departing Partner means a former General Partner from and after the effective date of any withdrawal or removal of such former General Partner pursuant to Section 11.1 or 11.2.

  • Individual Member means a registered, financial Member of the Club who is at least 18 years of age.

  • Managing Employee means a general manager, business manager, administrator, director, or other individual who exercises operational or managerial control over, or who directly or indirectly conducts the day-to-day operation of an institution, organization, or agency.

  • Rollover Contribution means any rollover contribution to the Plan made by a Participant as may be permitted under Article V.

  • Departing General Partner means a former General Partner from and after the effective date of any withdrawal or removal of such former General Partner pursuant to Section 11.1 or Section 11.2.

  • Equity Member means each member of the Respondent team that will contribute equity as part of the financing of the Project.

  • Shareholder Representative has the meaning set forth in the preamble.

  • Initial Capital Contribution has the meaning set forth in Section 4.1.

  • Managing Partner means KKR Management LLC, a Delaware limited liability company.

  • Investor Limited Partner means any Limited Partner so designated at the time of its admission as a partner of the Partnership.

  • Investment Management Agreement means the Investment Management Agreement, dated as of the date hereof, by and between the Investment Manager and the Borrower.

  • Sponsor Management Agreement means the management agreement between certain of the management companies associated with the Sponsor Group or their advisors and the Borrower.

  • Managing General Partner means the managing general partner of the Merging Entity where such Merging Entity is a limited partnership.

  • Unit Holder means the owner of one or more Units.
