Managing General Partner definition

Managing General Partner means the managing general partner of the Merging Entity where such Merging Entity is a limited partnership.
Managing General Partner means the Person designated in this Agreement as the general partner responsible for management of the affairs of the Partnership and thereafter any Person which becomes a general partner responsible for management of the affairs of the Partnership pursuant to this Agreement, in the Person's capacity as a managing general partner of the Partnership.
