Acquired Company Shares definition

Acquired Company Shares means all issued and outstanding shares of capital stock, membership interests or other equity securities of any Acquired Company.

Acquired Company Shares has the meaning set forth in the recitals of this Agreement.

Acquired Company Shares means (i) the envisionTEC Germany Shares (but excluding, for the avoidance of doubt, the German Treasury Shares) and (ii) all of the issued and outstanding shares of capital stock in envisionTEC, Gulf and 3dbotics.

Examples of Acquired Company Shares in a sentence

• The Acquired Company Shares to be acquired under the terms of this Agreement will be acquired by Buyer for its own account and not with a view to distribution.

• Each of the Shareholders is exchanging 100 Acquired Company Shares and the number of Series A Preferred Shares referenced on Exhibit A attached hereto, and shall, in accordance with this Article II, be issued in exchange One Hundred Thousand (100,000) Xxxxxxx Shares.

• Any payments or reimbursements to Sellers by Buyer or its Affiliates under this Agreement (including, without limitation, the Purchase Price, the Final Adjustment Payment and indemnification payments pursuant to Article VIII and Article IX) shall be allocated between Sellers and further allocated to the Acquired Company Shares and among the Acquired Company Subsidiaries in accordance with the principles set forth in Exhibit A hereto.

• Neither the execution of this Agreement or such other documents by such Shareholder nor the consummation of the Transactions will constitute or cause a breach or violation of any agreements, covenants, or obligations binding upon such Shareholder and affecting the Acquired Company Shares or the Series A Preferred Shares owned by such Shareholder.

• The Share Exchange Ratio has been calculated based on the number of Acquired Company Shares in issue as of the date hereof.

More Definitions of Acquired Company Shares

Acquired Company Shares means the number of shares of the Acquired Company immediately prior to completion of the Merger;

Acquired Company Shares means such of the shares in the Acquired Companies as are held by any member of the ABN AMRO Group or in which any member of the ABN AMRO Group is interested;

Acquired Company Shares means such of the shares in the Acquired Companies as are held by any member of the RBS Holdings Group or in which any member of the RBS Holdings Group is interested;

Acquired Company Shares means the Acquired Parent Shares and/or the shares of capital stock or other ownership interests of the other Acquired Companies identified on Appendix A as the “Acquired Company Shares” as the context indicates.

Acquired Company Shares means all of the outstanding capital stock of each Acquired Company denoted on Exhibit L as having its equity transferred to the Purchaser Group by a member of the Seller Group in connection with the Contemplated Transactions.

Acquired Company Shares shall have the meaning set forth in the Recitals.

Acquired Company Shares means the Brazil Shares and the Mexico Shares.
