In the absence of bad faith by the Stockholder Representative, the Stockholder Representative shall be entitled to conclusively rely on the opinions and advice of any Retained Agents; and the fact that any act was taken or omitted to be taken pursuant to the advice of counsel will be conclusive evidence of good faith.
Designated Agent means any entity that performs actions or functions on behalf of the Transmission Provider, a Transmission Owner, an Eligible Customer, or the Transmission Customer required under the Tariff. Designated Entity:
Titled Agent has the meaning given that term in Section 11.9.
Administrative Agent-Related Persons means Administrative Agent, its Affiliates, and the officers, directors, employees, agents and attorneys-in-fact of the Administrative Agent and its Affiliates.
Administrative Agents the collective reference to the General Administrative Agent and the Canadian Administrative Agent.
Second Lien Administrative Agent shall have the meaning assigned to the term “Administrative Agent” in the Second Lien Credit Agreement.
Collateral Agents means the Credit Agreement Collateral Agent, the Notes Collateral Agent and each Additional Collateral Agent.
authorised agent means a passenger sales agent who has been appointed by us to represent us in the sale of air transportation on our services.
ABL Administrative Agent means Bank of America in its capacity as administrative agent and collateral agent under the ABL Facilities Documentation, or any successor administrative agent and collateral agent under the ABL Facilities Documentation.
Second Lien Collateral Agent means the “Collateral Agent” under and as defined in the Second Lien Credit Agreement.
County Representative means the individual obligated to perform the duties of county representative under section 9.
Initial Agent shall have the meaning assigned to such term in the preamble to this Agreement.
Co-Agent has the meaning set forth in the preamble to this Agreement.
Lenders’ Representative means the person duly authorised by the Senior Lenders to act for and on behalf of the Senior Lenders with regard to matters arising out of or in relation to this Agreement, and includes his successors, assigns and substitutes;
Collateral Agent as defined in the preamble hereto.
Credit Agreement Collateral Agent has the meaning assigned to such term in the introductory paragraph of this Agreement.
ABL Collateral Agent means the “Collateral Agent” as defined in the ABL Credit Agreement.
