Co-Agent definition

Co-Agent has the meaning set forth in the preamble to this Agreement.
Co-Agent or "lead manager" shall have any right, power, obligation, liability, responsibility or duty under this Agreement other than those applicable to all Lenders as such. Without limiting the foregoing, none of the Lenders so identified shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of the Lenders so identified in deciding to enter into this Agreement or in taking or not taking action hereunder.
Co-Agent means each Bank designated as a Co-Agent on the signature pages hereof, in its capacity as co-agent in respect of this Agreement.

Examples of Co-Agent in a sentence

  • Without limiting the foregoing, the Lenders so identified shall not have or be deemed to have any fiduciary relationship with any Lender and no Lender shall be deemed to have relied, nor shall any Lender rely, on a Lender so identified as a Co-Agent, Syndication Agent, Documentation Agent or such similar designation in deciding to enter into this Agreement or in taking or not taking action hereunder.

  • All references to Section 9 (Indemnification) of the Distribution Agreement to “solely with respect to the applicable Agent(s) or Co-Agent(s)” will include all of such Agent’s or Co-Agent’s directors and officers and each person, if any, who controls such Agent or Co-Agent within the meaning of Section 15 of the Securities Act of 1933, as amended or Section 20 of the Securities Exchange Act of 1934, as amended.

  • Any Lender that is so designated as a Co-Agent, Syndication Agent, Documentation Agent or such similar designation by Agent shall have no right, power, obligation, liability, responsibility or duty under this Agreement or any of the other Financing Agreements other than those applicable to all Lenders as such.

  • A complete set of counterparts shall be lodged with the Borrower Parties, the Agent, the Co-Agent and each Lender.

  • Any Lender identified herein as a Co-Agent, Syndication Agent, Documentation Agent, Managing Agent, Manager, Lead Arranger, Arranger or any other corresponding title, other than “Administrative Agent,” shall have no right, power, obligation, liability, responsibility or duty under this Agreement or any other Loan Document except those applicable to all Lenders as such.


More Definitions of Co-Agent

Co-Agent means with respect to each Lender, the agent appointed to act on behalf of such Lender in the applicable Lender Supplement.
Co-Agent shall have the meaning provided in the first paragraph of this Agreement.
Co-Agent shall have the meaning given that term in Section 9.10.

Co-Agent means SouthTrust Bank, National Association, a national banking association, as co-agent for the Lenders hereunder and under the other Credit Documents, and each successor co-agent.
