Restricted Definitive Certificates means Certificates in definitive registered form issued by the Trustee which are offered and sold within the United States to QIBs who are also QPs in reliance on the exemption from registration provided by Rule 144A and for the time being are in substantially the form set out in part D (Form of Restricted Definitive Certificate) of schedule 1 (Forms of Certificates) of the Issuer Declaration of Trust or the amount thereof for the time being outstanding and includes any replacements for the Restricted Global Certificate issued pursuant to Condition 16 (Replacement of Definitive Certificates);

Examples of Restricted Definitive Certificates in a sentence

  • Restricted Definitive Certificates will bear the same legend as the legend for the Restricted Global Certificates set out under “Transfer Restrictions”.

  • Unrestricted Definitive Security means Definitive Securities and any other Securities that are not required to bear, or are not subject to, the Restricted Securities Legend.

  • Global Certificates Any Certificate registered in the name of the Depository or its nominee.

  • Regulation S Global Certificates As defined in Section 5.02(c)(i) of this Agreement.

  • Regulation S Permanent Global Security with respect to any series of Securities, means one or more permanent Global Securities bearing the Private Placement Legend, that will be issued in an aggregate amount of denominations equal in total to the outstanding principal amount of the Securities of such series initially sold or, if required by Rule 903 of Regulation S, of the Regulation S Temporary Global Security of such series upon expiration of the Distribution Compliance Period with respect to such series, as the case may be.

  • Global Certificate Any Private Certificate registered in the name of the Depository or its nominee, beneficial interests in which are reflected on the books of the Depository or on the books of a Person maintaining an account with such Depository (directly or as an indirect participant in accordance with the rules of such depository).

  • Additional Certificates has the meaning specified in Section 8.01(d).

  • Restricted Notes Legend means the legend set forth in Section 2.2(f)(i) herein.
