Required Records definition

Required Records shall have the meaning set forth in Section 5.1(j)(x) hereof.

Required Records is defined in Section 8.1(a).

Required Records means records relating to the services performed by BNYM for the Funds pursuant to the Agreement required to be retained under the 1940 Act which BNYM has agreed to keep in accordance with Section 31(a) of the 1940 Act and the rules thereunder.

• In the event this Agreement is terminated, all Required Records shall be delivered to the Trust or to any person designated by the Trust at the Trust's expense, and Countrywide shall be relieved of responsibility for the preparation and maintenance of any Required Records delivered to the Trust or any such person.

Required Records shall have the meaning set forth in Section 9.2 hereof.
