The amounts set forth in the definition of Required Reserve Amount (including, without limitation, each increase in the number of shares so reserved) shall be allocated pro rata among the holders of the Notes and Warrants based on the number of shares of Common Stock issuable pursuant to the Notes or Warrants held by each holder thereof on the date of issuance of the Notes and Warrants (without regards to any beneficial ownership limitations) (collectively, the “Authorized Share Allocation”).
As of each Closing Date, the Company shall have reserved solely for issuance of Underlying Shares from its duly authorized capital stock not less than a number of shares of authorized but unissued Common Stock equal to the Required Reserve Amount (as defined herein).
As of the date hereof, the Company shall have reserved from its duly authorized capital stock not less than the Required Reserve Amount (as defined below) for issuances of Conversion Shares pursuant to the Certificate of Designations.
