Replenishment Available Amount definition

Replenishment Available Amount means the sum of amounts received:
Replenishment Available Amount means, as of any Payment Date during the Replenishment Period, the amount by which the Aggregate Outstanding Note Principal Amount (including the issuance of an additional number of Class A Notes and an additional number of Class B Notes on a Payment Date which is a Ramp-Up Date) exceeds the Aggregate Outstanding Principal Amount as of the Cut-Off Date immediately preceding such Payment Date;
Replenishment Available Amount means: in respect of any Monthly Sweep Date, the sum of the amounts referred under items (i) to (viii) (inclusive) of the definition of Principal Available Amount in Condition 2.5(a) (inclusive) as calculated on the most recent Quarterly Calculation Date, minus, (A) the amount under item (ix) of the definition of Principal Available Amount in Condition 2.5(a), as calculated on the most recent Quarterly Calculation Date and (B) for the avoidance of doubt (i) part of such sum (if any) already applied by the Issuer to the purchase of SME Receivables in respect of New SME Loans since such most recent Quarterly Calculation Date and (ii) part of such sum (if any) applied by the Issuer on the most recent Quarterly Payment Date in accordance with the Conditions (including Condition 2.5(b));

  • Replenishment: The Mortgage Receivables Purchase Agreement will provide that the Issuerwill on each Notes Payment Date up to (but excluding) the First Optional Redemption Date, to the extent funds are available for this purpose as Replenishment Available Amount or, as the case may be, Fixed Floating Replenishment Available Amount, purchase from the Seller New Mortgage Receivables and Further Advance Receivables subject to fulfilment of certain conditions and to the extent offered by the Seller.

Related to Replenishment Available Amount

  • Available Amount of any Letter of Credit means, at any time, the maximum amount available to be drawn under such Letter of Credit at such time (assuming compliance at such time with all conditions to drawing).

  • Maximum Available Amount means, on any date of determination, an amount equal to the lesser of:

  • Total Available Amount With respect to any Distribution Date, the sum of the Available Interest and the Available Principal for such Distribution Date and the amount of all cash or other immediately available funds on deposit in the Reserve Account immediately prior to such Distribution Date.

  • Replenishment Amount has the meaning assigned to such term in Section 2.06(b).

  • Available Amounts means, with respect to any Distribution Date, the sum of Available Interest and Available Principal for such Distribution Date.

  • Applicable Amount means, at any time (the “Applicable Amount Reference Time”), an amount equal to (a) the sum, without duplication, of:

  • Excess Cash Flow Percentage 50%; provided that the Excess Cash Flow Percentage shall be reduced to (a) 25% if the Consolidated Total Leverage Ratio as of the last day of the relevant fiscal year is not greater than 3.75 to 1.00 and (b) to 0% if the Consolidated Total Leverage Ratio as of the last day of the relevant fiscal year is not greater than 2.25 to 1.00.

  • Class B Available Funds means, with respect to any Monthly Period, an amount equal to the sum of (a) the Class B Floating Percentage of the Reallocated Investor Finance Charge Collections and (b) if such Monthly Period relates to a Distribution Date with respect to the Controlled Accumulation Period, the Class B Floating Percentage of the Principal Funding Account Investment Proceeds, if any, with respect to such Distribution Date.

  • REMIC II Available Distribution Amount For any Distribution Date, the amount distributed from REMIC I to REMIC II on such Distribution Date in respect of the REMIC I Regular Interests.

No person guilty of fraudulent misrepresentation (within the meaning of Section 11(f) of the Securities Act) shall be entitled to contribution from any Person who was not guilty of such fraudulent misrepresentation. The Holders’ obligations to contribute pursuant to this Section 8(d) are several in proportion to the respective principal amount of the Registrable Securities held by each Holder hereunder and not joint. The Company’s and Subsidiary Guarantors’ obligations to contribute pursuant to this Section 8(d) are joint and several. The indemnity and contribution agreements contained in this Section 8 are in addition to any liability that the Indemnifying Parties may have to the Indemnified Parties.

  • Overcollateralization Reduction Amount With respect to any Distribution Date on which the Excess Overcollateralization Amount is, after taking into account all other distributions to be made on such Distribution Date, greater than zero, the Overcollateralization Reduction Amount shall be equal to the lesser of (i) the Excess Overcollateralization Amount for that Distribution Date and (ii) the Principal Remittance Amount on such Distribution Date.

  • Maximum Available Commitment means, subject to the proviso contained in the third sentence of Section 2.02(a), at any time of determination, (a) the Maximum Commitment at such time less (b) the aggregate amount of each Interest Advance outstanding at such time; provided that following a Provider Advance or a Final Advance, the Maximum Available Commitment shall be zero.

  • Overcollateralization Increase Amount With respect to any Distribution Date, the lesser of (a) the Overcollateralization Deficiency Amount as of such Distribution Date and (b) the Net Monthly Excess Cashflow for such Distribution Date.
