Related Swap Agreement definition

Related Swap Agreement means any Swap Agreement that is entered into by and between a Borrower and a Swap Provider. For the avoidance of doubt, a holder of Obligations in respect of Related Swap Agreements shall be subject to the last paragraph of Section 8.02 and Section 9.11.
Related Swap Agreement means any swap agreement and/or other hedging agreement, or any letter of credit, guarantee or other credit support or credit enhancement document, or other financial arrangement, entered into by the Issuer in order to provide cashflows for principal and interest payments on the Notes or other obligations of the Issuer;
Related Swap Agreement means an agreement entered into by the Lender and a counterparty in the form of an ISDA Master Agreement, subject to any amendments and elections as may be agreed between the Lender and such counterparty, provided that such agreement incorporates without amendment and does not contain any provisions which conflicts with or overrides: (a) the definition of Settlement Amount and Unpaid Amount (in each case as defined in section 14 of the ISDA Master Agreement); and (b) section 6(e) (Payments of Early Termination) of the ISDA Master Agreement and, for such purposes, the application of Second Method and Market Quotation (in each case as defined in the ISDA Master Agreement), and applies such provisions in the determination of amounts payable upon the occurrence of an Early Termination Date (as defined in section 14 of the ISDA Master Agreement). “Related Swap Transaction” means any swap transaction entered into by the Lender under the Related Swap Agreement on or around the date of the Amendment and Restatement

  • Each Cash Management Bank or Affiliate of a Lender party to a Related Swap Agreement not a party to this Agreement that has given the notice contemplated by the preceding sentence shall, by such notice, be deemed to have acknowledged and accepted the appointment of the Administrative Agent pursuant to the terms of Article IX for itself and its Affiliates as if a “Lender” party hereto.

  • Swap Agreement means any agreement with respect to any swap, forward, future or derivative transaction or option or similar agreement involving, or settled by reference to, one or more rates, currencies, commodities, equity or debt instruments or securities, or economic, financial or pricing indices or measures of economic, financial or pricing risk or value or any similar transaction or any combination of these transactions; provided that no phantom stock or similar plan providing for payments only on account of services provided by current or former directors, officers, employees or consultants of the Borrower or the Subsidiaries shall be a Swap Agreement.

  • Secured Swap Agreement means a Swap Agreement between (a) any Loan Party and (b) a Secured Swap Provider.

  • Eligible Swap Counterparty means an entity, which may be an affiliate of a remarketing agent, engaged in the business of entering into derivative instrument contracts that satisfies the Rating Agency Condition.

  • Swap Contract means (a) any and all rate swap transactions, basis swaps, credit derivative transactions, forward rate transactions, commodity swaps, commodity options, forward commodity contracts, equity or equity index swaps or options, bond or bond price or bond index swaps or options or forward bond or forward bond price or forward bond index transactions, interest rate options, forward foreign exchange transactions, cap transactions, floor transactions, collar transactions, currency swap transactions, cross-currency rate swap transactions, currency options, spot contracts, or any other similar transactions or any combination of any of the foregoing (including any options to enter into any of the foregoing), whether or not any such transaction is governed by or subject to any master agreement, and (b) any and all transactions of any kind, and the related confirmations, which are subject to the terms and conditions of, or governed by, any form of master agreement published by the International Swaps and Derivatives Association, Inc., any International Foreign Exchange Master Agreement, or any other master agreement (any such master agreement, together with any related schedules, a “Master Agreement”), including any such obligations or liabilities under any Master Agreement.

  • Credit Enhancement Agreements means, collectively, any documents, instruments, guarantees or agreements entered into by the Issuer, any of its Restricted Subsidiaries or any Securitization Entity for the purpose of providing credit support (that is reasonably customary as determined by Issuer’s senior management) with respect to any Permitted Funding Indebtedness or Permitted Securitization Indebtedness.
