Reinvestment Reserve definition

Reinvestment Reserve shall have the meaning assigned to such term in Section 2.10(g).
Reinvestment Reserve has the meaning set forth in Section 2.1(c).
Reinvestment Reserve means means the aggregate of reserve accounts that the Manager, in the Manager’s sole discretion, deems reasonably necessary to meet accrued or contingent liabilities of the Company, reasonably anticipated operating expenses, amounts necessary for reinvestment in Portfolio Investments or to make additional Portfolio Investments and for working capital requirements.

Reinvestment Reserve has the meaning set forth in Section 2.1(d).
Reinvestment Reserve means an amount of Net Asset Sale Proceeds from a sale or other disposition permitted by Section 6.10 not exceeding (a) $1,000,000 in any fiscal year in the aggregate and (b) an additional amount (to be used only one time prior to the Final Maturity Date) equal to the lesser of (i) $10,000,000 and (ii) the net proceeds from such sale or other disposition of assets constituting a line of business contributing not more than 15% of Consolidated EBITDA for the Company's most recently completed fiscal year, in each case that has been designated by written notice from the Company to the Agent at a time when no Default exists within five days prior to such sale or other disposition as a reserve to the Revolving Loan Commitments to be used to acquire replacement or other assets within 360 days; provided, however, that if any such reserved amount is not actually used to acquire replacement or other assets within such 360-day period, such amount shall no longer constitute a Reinvestment Reserve and shall reduce the Revolving Loan Commitments.
Reinvestment Reserve means, with respect to any Net Cash Proceeds of any Reinvestment Event, a reserve, in effect from the time of the receipt of such Net Cash Proceeds to the Reinvestment Prepayment Date for such Net Cash Proceeds, in an amount equal to the Reinvestment Deferred Amount for such Net Cash Proceeds, as such amount may be reduced from time to time to permit, and concurrently with the incurrence of, Borrowings by, and Swing Loans to, the Borrowers of all or part of such Reinvestment Deferred Amount, to the extent the proceeds of such Borrowings and Swing Loans are used solely to acquire replacement assets useful in the Company's or a Subsidiary's business (or, in the case of a Property Loss Event, to effect repairs).
Reinvestment Reserve is defined in Section 2.5(B)(i)(f) hereof. "RELEASE" means any release, spill, emission, leaking, pumping, injection, deposit, disposal, discharge, dispersal, leaching or migration into the indoor or outdoor environment, including the movement of Contaminants through or in the air, soil, surface water or groundwater.

  • Required Reserve Fund Amount With respect to any Distribution Date on which the Net Excess Spread is less than 0.25%, the amount, if any by which (a) the product of 1.00% and the Pool Balance for such date exceeds (b) the amount on deposit in the Basis Risk Reserve Fund immediately prior to such date. With respect to any Distribution Date on which the Net Excess Spread is equal to or greater than 0.25%, the amount, if any, by which (i) $1,000 exceeds (ii) the amount on deposit in the Basis Risk Reserve Fund immediately prior to such date. Provided, however, that on any Distribution Date on which the Class Principal Amount of each Class of LIBOR Certificates has been reduced to zero, the Required Reserve Fund Amount shall be zero.

  • Reserve Account Draw Amount means, for any Payment Date, an amount equal to the lesser of (a) the Available Funds Shortfall Amount, if any, for such Payment Date and (b) the amount of cash or other immediately available funds on deposit in the Reserve Account (excluding any net investment earnings) on such Payment Date; provided, however, that if such Payment Date is the Redemption Date, the “Reserve Account Draw Amount” shall mean an amount equal to the amount of cash or other immediately available funds on deposit in the Reserve Account on the Redemption Date.

  • Required Reserve Account Amount means, with respect to any Distribution Date on or after the Reserve Account Funding Date, an amount equal to (1) 0.50% of the Class A Invested Amount as of the preceding Distribution Date (after giving effect to all changes therein on such date) or (2) any other percentage (which may be 0%) of the Class A Invested Amount designated by the Transferors, provided that if such percentage is less than the percentage specified in clause (1) above, the Transferors shall have received the prior written consent of the Collateral Interest Holder and written notice from each Rating Agency that the Rating Agency Condition shall have been satisfied with respect to such designation and shall have delivered copies of each such written notice to the Servicer and the Trustee.
