Examples of Purchaser Required Consents in a sentence
The Purchaser Required Consents, the failure of which to obtain would prevent, materially delay or materially impair the Purchaser's ability to consummate the transactions contemplated by this Agreement, shall have been obtained.
Except for those Consents set forth on Schedule 5.4 (the "Purchaser Required Consents"), Purchaser is not required to give any notice to or obtain any Consent from any Third Party or Governmental Authority or other Person in connection with the execution and delivery of this Agreement and each other agreement and instrument to be executed and delivered by it pursuant hereto or the consummation of the transactions contemplated hereby or thereby.
Sellers shall have received all Seller Required Consents referred to in Section 2.3, and Purchaser shall have received all Purchaser Required Consents referred to in Section 3.2, in each case, in form and substance reasonably satisfactory to Purchaser and Sellers, and no such consent, authorization, order and approval shall have been revoked.
The Debtor Seller shall have received copies of all of the Purchaser Required Consents, and all such Purchaser Required Consents shall be in form and substance reasonably satisfactory to the Debtor Seller and shall be in full force and effect as of the Closing Date.
In addition, the Purchaser will at its sole cost and expense use commercially reasonable efforts to obtain the Purchaser Required Consents.
