Provider Lockbox Account definition

Provider Lockbox Account means the account set forth on Schedule IV hereto in the name of the Provider and associated with the Provider Lockbox established and controlled by the Provider to deposit Collections, including Collections received in the Provider Lockbox and Collections received by wire transfer directly from Governmental Entities, all as more fully set forth in the Depositary Agreement.
Provider Lockbox Account means the accounts set forth on Schedule IV hereto in the name of the Providers and associated with the Provider Lockbox established and controlled by the Providers to deposit Collections from Governmental Entities, including Collections received in the Provider Lockbox and Collections received by wire transfer directly from Governmental Entities, all as more fully set forth in the Depositary Agreement.
Provider Lockbox Account means, collectively, the Provider Ancillary Lockbox Account and the Provider Government Lockbox Account, or, as the context requires, either such lockbox account.

Examples of Provider Lockbox Account in a sentence

  • On a daily basis, or at such intervals as the Provider and Manager shall otherwise mutually agree, amounts received in the Provider Lockbox Account shall be swept or transferred into the Operating Account.

  • Manager shall have no control over and shall not be authorized to make withdrawals from the Provider Lockbox Account.

  • Manager shall not deposit, and shall use its best efforts to cause to not be deposited, into the Provider Lockbox Account any payments other than payments on Government Receivables without the prior written consent of the Provider.

  • It shall, however, be a material breach of this Agreement by Provider to terminate the Manager’s ability to sweep the amounts received in the Provider Lockbox Account into the Operating Account as set forth in Section 3.1.5.

  • If Manager directly receives any payments on Government Receivables, it shall remit such funds to the Provider Lockbox Account and send to the Provider or its designee clear copies of all remittance advices accompanying such payments or a notice of the amount received, if no remittance advice accompanies such payment.

  • Manager shall deposit, and use its best efforts to cause to be deposited all Government Receivables into the Provider Lockbox Account, which shall be in the name of and under the direction and control of Provider.

  • Provider shall instruct the Provider Lockbox Account bank to institute such sweep function.

  • The Provider Lockbox Account may be established for Provider by Manager but the account shall be the sole and exclusive property of Provider.

  • Except with respect to Government Receivables and the Provider Lockbox Account (both as defined below), to open, close, continue and control accounts and deposits at financial institutions (which includes, without limitation, any and all banks) and deposit in and withdraw from and write checks on such accounts and deposits, and, in general, exercise all powers with respect to financial institution transactions which Provider could engage in.

  • It will not terminate the Provider Lockbox, the Provider Lockbox Account, the Purchaser Lockbox or the Purchaser Lockbox Account, or make any change or replacement in the instructions contained in any invoice, Notice or otherwise, or regarding payments with respect to Receivables to be made to it, the Purchaser or the Master Servicer, except upon the prior and express written consent of the Program Manager or the Purchaser.


More Definitions of Provider Lockbox Account

Provider Lockbox Account shall have the meaning set forth in Section 3.1.4 of this Agreement.

Related to Provider Lockbox Account

  • Lockbox Account shall have the meaning set forth in Section 2.7.1 hereof.

  • Lockbox Accounts means the accounts maintained by Borrower at the Lockbox Banks into which all collections or payments on their Accounts and other Collateral are paid.

  • Collection Accounts As defined in Section 3.10(a).

  • Lockbox Account Agreement means any replacement agreement therefor among the Servicer, the Trust Collateral Agent and the Lockbox Bank.

  • Lock-Box Account With respect to any Mortgaged Property, if applicable, any account created pursuant to any documents relating to a Mortgage Loan or Serviced Loan Combination to receive rental or other income generated by the Mortgaged Property. Any Lock-Box Account shall be beneficially owned for federal income tax purposes by the Person who is entitled to receive the reinvestment income or gain thereon in accordance with the terms and provisions of the related Mortgage Loan or Serviced Loan Combination and Section 3.07 of this Agreement, which Person shall be taxed on all reinvestment income or gain thereon.

  • Lockbox Bank means a depository institution named by the Servicer and acceptable to the Controlling Party.

  • Lockbox Processor means Regulus Group II LLC, or its successors or assigns.

  • Collection Account Agreement means an agreement substantially in the form of Exhibit VI among Originator, Seller, the Agent and a Collection Bank.

  • Client Accounts means accounts of Clients (i) that are Controlled by an Access Person and (ii) in which no Access Person has a substantial proportionate economic interest; provided that, the Client pays a management, advisory or any other similar arms-length fee to the Access Person and the beneficiary of the Client Account is not an Immediate Family member of an Access Person.

  • Collection Account Bank means any of the banks or other financial institutions holding one or more Collection Accounts.

  • Locked Box Accounts means the unaudited, aggregated balance sheet of the Group as at the Locked Box Date, in the agreed form;

  • Billing Account is the checking account from which all Service fees will be automatically debited.

  • Client Account means the unique personalized account of the Client consisting of all Completed Transactions, Open Positions and Orders on the Platform, the Balance of the Client money and deposit/withdrawal transactions of the Client money. It is understood that the Company may use the term Trading Account or Account on its Website or communications, which shall mean your Client Account.

  • Collection Account means the account designated as such, established and maintained pursuant to Section 5.1.

  • Custodial Accounts Each Custodial Account (other than an Escrow Account) established and maintained by a Servicer pursuant to a Servicing Agreement with respect to the Mortgage Loans.

  • Concentration Accounts has the meaning ascribed to it in Annex C.

  • Project Accounts means the accounts referred to in Section 3.03 (a) of this Agreement;

  • Blocked Accounts shall have the meaning set forth in Section 6.3 hereof.

  • Lockbox has the meaning set forth in Section 2.11.

  • Designated Accounts as used in any security agreement means both the Designated Accounts hereunder and the “Designated Accounts” in the comparable agreement entered into with respect to any other Pledgor.

  • Collection Account Control Agreement means that certain Collection Account Control Agreement, to be entered into by and among the Borrower, the Lender and Bank, with respect to the Collection Account, in form and substance acceptable to the Lender and the Borrower, as the same may be amended, modified or supplemented from time to time.

  • Excluded Account means (a) any deposit account specifically and exclusively used for payroll, payroll taxes and other employee wage and benefit payments to or for the benefit of any Loan Party’s employees and (b) any Xxxxx Cash Accounts.

  • Customer Account Information means personally identifiable information including Personal Data and Consumption Data. Customer Account Information also includes information received by the Company from the customer for purposes of participating in regulated utility programs, including, but not limited to bill pay assistance, shutoff protection, renewable energy, demand-side management, load management, or energy efficiency.
