Lockbox Bank definition

Lockbox Bank means a depository institution named by the Servicer and acceptable to the Controlling Party.

Lockbox Bank has the meaning set forth in Section 2.11.

Lockbox Bank means, as of any date, Wxxxx Fargo Bank, National Association or another depository institution named by the Servicer and acceptable to the Trustee at which the Lockbox Account is established and maintained as of such date.

• Borrowers hereby indemnify and agree to hold Agent harmless from any and all liabilities, claims, losses and demands whatsoever, including reasonable and documented attorneys’ fees and expenses, arising from or relating to actions of Agent or the Lockbox Bank pursuant to this Section or any lockbox agreement or Deposit Account Control Agreement or similar agreement, except to the extent of such losses arising solely from Agent’s gross negligence or willful misconduct.

• Following the expiration of any Cash Dominion Period, Agent shall promptly submit a written notice to the Lockbox Bank to reverse or rescind its notice of exclusive control (or similar notice) and take such other action as is reasonably requested by Borrower Representative to restore the Credit Parties access to any Lockbox Account that was restricted during the Cash Dominion Period.

• Notwithstanding anything in any lockbox agreement or Deposit Account Control Agreement to the contrary, Borrowers agree that they shall be liable for any fees and charges in effect from time to time and charged by the Lockbox Bank in connection with the Lockbox, the Lockbox Account, and that Agent shall have no liability therefor.

• Borrowers shall maintain a lockbox (the “Lockbox”) with a United States depository institution reasonably acceptable to Agent (the “Lockbox Bank”), subject to the provisions of this Agreement (including Section 7.4), and shall execute with the Lockbox Bank a Deposit Account Control Agreement and such other agreements related to such Lockbox as Agent may reasonably require to implement the provisions of this Section 2.11.

More Definitions of Lockbox Bank

Lockbox Bank means the financial institution maintaining the Lockbox Account and identified on Exhibit K hereto or any successor thereto and any other financial institution at which a Lockbox Account is maintained.
