Proposed ROFR Sale has the meaning set forth in Section 7.1(b)(i).
Proposed Sale shall have the meaning set forth in Section 4.2(a).
Proposed Transfer Notice means written notice from a Key Holder setting forth the terms and conditions of a Proposed Key Holder Transfer.
Proposed Transfer means any assignment, sale, offer to sell, pledge, mortgage, hypothecation, encumbrance, disposition of or any other like transfer or encumbering of any Transfer Stock (or any interest therein) proposed by any of the Stockholders.
ROFR Notice has the meaning set forth in Section 3.02(d).
ROFR means a right of first refusal to purchase or a right of first offer to purchase one or more of the Mortgaged Properties pursuant to a recorded instrument (or a memorandum thereof) encumbering the applicable Mortgaged Property.
First Offer Notice shall have the meaning set forth in Section 14.4(a).
Proposed Transaction is defined in Section 6.2(a).
Proposed Transferee has the meaning set forth in Section 2.4(a).
ROFO Notice is defined in Section 6.2(a).
Offer Notice shall have the meaning set forth in Section 4.1.
Shelf Offering Notice has the meaning set forth in Section 2(d)(ii).
Sale Notice has the meaning set forth in Section 9.18(b).
Term SOFR Notice means a notification by the Administrative Agent to the Lenders and the Borrower of the occurrence of a Term SOFR Transition Event.
Offering Notice has the meaning set forth in Section 3.1(a).
Transfer Notice means the notice of a proposed transfer of Shares described in Section 8.
Tag or “RFID tag” means the unique identification number or Radio Frequency Identification (RFID) issued to a licensee by the agency for tracking, identifying and verifying marihuana plants, marihuana products, and packages of marihuana product in the statewide monitoring system.
Co-Sale Notice has the meaning set forth in Section 2.4(b).
Third Party Offer has the meaning set out in Section 6.4;

Proposed Acquirer means a Person proposed by a Respondent (or a Divestiture Trustee) to the Commission and submitted for the approval of the Commission as the acquirer for particular assets or rights required to be assigned, granted, licensed, divested, transferred, delivered or otherwise conveyed pursuant to this Order.
Proposed Purchaser shall have the meaning set forth in Section 5.7(a).
Bona Fide Offer means an actual or genuine offer which includes a specific wage or a training opportunity at a specified place when used to determine whether the parent has refused an offer of training or employment.
First Offer has the meaning set forth in Section 3.9(e)(1) or Section 11.1(b)(i), as applicable.
Proposed Contract means the agreement including any other terms and conditions contained in or referred to in this RFP that may be executed between the DBSA and the successful Bidder.
Proposed decision means the presiding officer’s recommended findings of fact, conclusions of law, decision, and order in a contested case in which the administrator did not preside.
Drag-Along Notice has the meaning set forth in Section 3.03(b).
