Upon receipt of such notice, the Indemnitor shall be entitled to participate in such claim or action, to assume the defense thereof at its expense, and to settle or compromise such claim or action or consent to the entry of any judgment, provided that such settlement or compromise shall be effected only with the consent of the Indemnitee, which consent shall not be unreasonably withheld, unless such settlement, compromise or judgment (i) includes as an unconditional term thereof the giving by the claimant or the plaintiff of a release of the Indemnitee from all liability with respect to such claim or action and (ii) does not involve the imposition of equitable remedies or the imposition of any obligations on such Indemnitee and does not otherwise adversely affect the Indemnitee, other than as a 117 result of the imposition of financial obligations for which such Indemnitee will be indemnified hereunder. Promptly after obtaining knowledge thereof, Contractor shall give prompt written notice to Owner of each incident likely to result in (i) damages or claims for damages to person or property against Contractor or any other person with respect to Contractor's performance of the Services; or (ii) a violation of any law or regulation. Such notice shall include information as to the time, place and nature of such incident, the names and addresses of the persons and parties involved, any persons injured, witnesses and owners of any property damaged and such other information as may be known to Contractor. In addition, upon request from Owner, Contractor shall furnish Owner promptly with copies of all correspondence, papers, notices and documents whatsoever received by, or in the possession of Contractor, in connection with such incident.
