Prior Awards definition

Prior Awards means awards, if any, made to you under the 2013 Rayonier Inc. Equity Incentive Award Program, 2014 Rayonier Advanced Materials Equity Incentive Program, 2015 Rayonier Advanced Materials Equity Incentive Program, 2016 Rayonier Advanced Materials Equity Incentive Program, 2017 Rayonier Advanced Materials Equity Incentive Program, 2018 Rayonier Advanced Materials Equity Incentive Program, 2019 Rayonier Advanced Materials Equity Incentive Program and any outstanding awards of options or restricted stock that are unvested as of the date of these Supplemental Terms, other than the 2020 Award.
Prior Awards has the meaning set forth in Section 13.
Prior Awards shall have the meaning as defined in the fifth Recital to this Agreement.

Examples of Prior Awards in a sentence

  • Notwithstanding anything to the contrary in this Agreement or the agreements evidencing any Prior Awards, the Company shall be entitled to require you to pay any sums required by applicable law to be withheld with respect to the PSUs, the issuance of Shares or with respect to any Prior Awards.

  • Notwithstanding anything to the contrary in this Agreement or the agreements evidencing any Prior Awards, the Company shall be entitled to require you to pay any sums required by applicable law to be withheld with respect to the RSUs, the issuance of Shares or with respect to any Prior Awards.

  • Prior Awards AddendumIf the SBC has received more than 15 Phase II awards in the prior 5 fiscal years, submit name of awarding agency, solicitation year, phase, date of award, funding agreement/contract number, and topic or subtopic title for each Phase II.

  • We classify the selected articles into three categories according to their applied research methods: theoretical research, empirical research, and literature review.

  • Except as provided in this Section 12 and in the applicable Option Agreement or Restricted Share Purchase Agreement, an Awardee or awardee of any Prior Awards shall have no rights by reason of (i) any subdivision or consolidation of Shares or other securities of any class, (ii) the payment of any dividend, or (iii) any other increase or decrease in the number of Shares or other securities of any class.

  • The Committee will administer the Prior Awards, as converted into Common Stock of the Issuer.

More Definitions of Prior Awards

Prior Awards means awards, if any, made to you under the 2012 Rayonier Performance Share Award Program, 2013 Rayonier Performance Share Award Program, 2014 Rayonier Advanced Materials Share Award Program and any outstanding awards of options or restricted stock that are unvested as of the date of these Supplemental Terms, other than the 2015 Award.
Prior Awards. (1) The Company shall make a lump-sum cash payment to you equal to your base salary, 50 percent (or, if greater, the percentage of your maximum short-term bonus opportunity awarded for the year immediately preceding the year in which your employment terminates) of your maximum short-term bonus opportunity, and 100 percent of your long-term bonus opportunity for the remaining Term of Employment (as the Term of Employment is determined as of the date immediately preceding the date your employment terminates), reduced by any amounts payable to you under any Company-sponsored severance plan, program, policy, contract, account, or arrangement (excluding any amounts payable to you under Company-sponsored deferred compensation plans, such as the ESDP) during the remaining Term of Employment (as the Term of Employment is determined as of the date immediately preceding the date your employment terminates). For this purpose, your base salary shall be based on your base salary rate in effect immediately before your employment terminated; your annual maximum short-term bonus opportunity shall be equal to 200 percent of your annual base salary in effect immediately before your employment terminated; and your annual long-term bonus opportunity shall be equal to 500 percent of your annual base salary in effect immediately before your employment terminated. If your long-term bonus is subject to a performance target, it shall be assumed for this purpose that the target is met;
Prior Awards means awards, if any, made to you under the 2011 Performance Share Award Program, 2012 Performance Share Award Program and 2013 Performance Share Award Program and any outstanding awards of options or restricted stock that are unvested as of the date of these Supplemental Terms, other than the 2014 Award.

Related to Prior Awards

  • Equity Awards will mean Executive’s outstanding stock options, stock appreciation rights, restricted stock units, performance shares, performance stock units and any other Company equity compensation awards.

  • Awards means, collectively, Options, Purchased Stock, Bonus Stock, Stock Appreciation Rights, Phantom Stock, Restricted Stock, Performance Awards, or Other Stock or Performance Based Awards.

  • Stock Awards means all stock options, restricted stock and such other awards granted pursuant to the Company’s stock option and equity incentive award plans or agreements and any shares of stock issued upon exercise thereof.

  • Prior Plan Award means an award outstanding under the Prior Plan as of the Effective Date.

  • Prior Plans means, collectively, the Company’s 2006 Long-Term Incentive Plan, as amended, 2009 Long-Term Incentive Plan, 2012 Long-Term Incentive Plan and 2013 Long-Term Incentive Plan. Awards granted under the Prior Plans continue to be governed under the terms of those Prior Plans.

  • Stock Appreciation Rights or “SAR” means a right granted to a Participant under Section 6(c).

  • SARS means the South African Revenue Service.

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Other Stock-Based Awards means Awards granted to a Participant under Section 6(i) hereof.

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • Stock Appreciation Right or “SAR” means a right to receive the appreciation on Common Stock that is granted pursuant to the terms and conditions of Section 5.

  • Performance Awards means Performance Units, Performance Shares or either or both of them.

  • Other Share-Based Awards means Awards consisting of Share units, or other Awards, valued in whole or in part by reference to, or otherwise based on, Shares.

  • Performance-Based Awards means the Performance Share Awards and Restricted Stock Awards granted to selected Covered Employees pursuant to Articles 9 and 10, but which are subject to the terms and conditions set forth in Article 11. All Performance-Based Awards are intended to qualify as "performance-based compensation" under Section 162(m) of the Code.

  • Service Awards means the amount awarded by the Court and paid to the Class Representatives in recognition of their role in this litigation, as set forth in Section 8 below.

  • CONCURRENT STOCK APPRECIATION RIGHT or "CONCURRENT RIGHT" means a right granted pursuant to subsection 8(b)(2) of the Plan.

  • Company Equity Awards means the Company Options, Company PSUs and Company RSUs.

  • Tandem Appreciation Right means an Appreciation Right granted pursuant to Section 5 of this Plan that is granted in tandem with an Option Right.

  • Stock Appreciation Right” or “SAR means a stock appreciation right awarded under the Plan as provided in Section 8.

  • Incentive Plans means any incentive, bonus, deferred compensation or similar plan or arrangement currently or hereafter made available by Employer in which Executive is eligible to participate.

  • Other Equity-Based Award means an Award that is not an Option, Stock Appreciation Right, Restricted Stock, Restricted Stock Unit, or Performance Share Award that is granted under Section 10 and is payable by delivery of Common Stock and/or which is measured by reference to the value of Common Stock.

  • Full Value Award means an Award other than in the form of an ISO, NQSO, or SAR, and which is settled by the issuance of Shares.

  • Stock Appreciation Right Agreement means a written agreement between the Company and a holder of a Stock Appreciation Right evidencing the terms and conditions of a Stock Appreciation Right grant. Each Stock Appreciation Right Agreement will be subject to the terms and conditions of the Plan.

  • Prior Plan means the coverage provided on a group or group-type basis by the group insurance policy, benefit plan or service plan that was terminated on the day before the Effective Date of the Plan and replaced by the Plan.

  • Stock Incentives means, collectively, Dividend Equivalent Rights, Incentive Stock Options, Non-Qualified Stock Options, Performance Unit Awards, Phantom Shares, Stock Appreciation Rights and Stock Awards.

  • INDEPENDENT STOCK APPRECIATION RIGHT or "INDEPENDENT RIGHT" means a right granted pursuant to subsection 8(b)(3) of the Plan.
