Phase II Commencement Date definition

Phase II Commencement Date means the first to occur of: (i) the first day Licensee opens for business after the Final Completion of the Phase II Capital Improvements, and;

Phase II Commencement Date. The date determined pursuant to Article 2, which date is anticipated to be the Projected Phase II Commencement Date specified in Section 1.1.

More Definitions of Phase II Commencement Date

Phase II Commencement Date means the first day of the first calendar month immediately following the expiration of 5 months after the date on which Landlord delivers possession of the Phase II Premises to Tenant in the condition required by this Lease.

For purposes of the preceding sentence, such clinical trial shall be deemed to have commenced when such Licensed Product is first administered to any patient enrolled in such clinical trial. For purposes of this definition, the term “COMPANY” * Confidential Treatment Requested 4 shall include Triangle Pharmaceuticals, Inc., its Affiliates and sublicensees or any party in a co-promotion or co-marketing relationship with Triangle Pharmaceuticals, Inc pertaining to such Licensed Product.

Phase II Commencement Date shall be (i) the date on which Landlord has substantially completed the Landlord Work (if any) and tendered possession of the Phase II Premises to Tenant; or (ii) any earlier date upon which Tenant, with Xxxxxxxx’s written permission, takes possession of any portion of the Phase II Premises to commence construction of the Tenant Work.

Phase II Commencement Date means the first to occur of: (i) the first day Licensee opens for business after the Final Completion of the Phase II Capital Improvements, and; (ii) December 31, 2023 (the “Construction Period Deadline”), subject to Article 41 of this License Agreement. The foregoing notwithstanding, in the event that this First Amendment to the License Agreement is not registered with the Comptroller of the City of New York, on or before October 31, 2021, then the Construction Period Deadline shall be extended to December 31, 2024, unless such failure to register, timely, is the result of Licensee’s actions, inactions, or bad faith.”
