PEO Agreements definition

PEO Agreements means (a) that certain TriNet Services Requisition Form dated as of February 26, 2014, by and between Seller and TriNet HR Corporation, together with any and all schedules, attachments, and addendums thereto or made a part thereof, and (b) that certain Transaction Services Requisition Form - Canada dated as of June 15, 2017, by and between Seller and TriNet Employer Group Canada, Inc., together with any and all schedules, attachments, and addendums thereto or made a part thereof.
PEO Agreements has the meaning set forth in Section 3.12(a).
PEO Agreements has the meaning set forth in Section 5.7. “PEO Notices” has the meaning set forth in Section 5.7. “Permits” means, with respect to any Person, any license, franchise, permit, consent, approval, right, privilege, certificate, accreditation, registration, authorization, qualification provider number, supplier number or other similar authorization issued by, or otherwise granted by, any Governmental Authority or any other Person to which or by which such Person is subject or bound or to which or by which any property, business, operation or right of such Person is subject or bound, including any of the foregoing pursuant to any Environmental Law. “Permitted Lien” means: (a) any Lien for Taxes not yet due or payable or being contested in good faith by appropriate proceedings, in each case, for which adequate reserves have been established in accordance with GAAP consistently applied in accordance with the Company’s past practices as set forth on Exhibit B in the Financials; (b) any statutory Lien arising in the Ordinary Course of Business by operation of Legal Requirement with respect to a Liability that is not yet due or delinquent, other than any Liens for Taxes; (c) easements, covenants, conditions, restrictions or any minor imperfection of title or similar Lien that individually or in the aggregate with other such Liens does not materially impair the value or use of the property subject to such Lien; (d) statutory landlord Liens and other Liens of lessors under any leases, other than any Liens for Taxes; and (e) Liens that will be released at or prior to the Closing.

  • Schedule 4.16(a) separately sets forth each Benefit Plan that is maintained by TriNet HR Corporation or any of its subsidiaries or Affiliates pursuant to the PEO Agreements.
