Parent Securities Filings shall have the meaning set forth in Section 5.10.1.

Parent Securities Filings means: (i) Parent's Annual Reports on Form 10-K, as amended, for the years ended December 31, 1999 and 2000, as filed with the Commission; (ii) Parent's proxy statements relating to all of the meetings of stockholders (whether annual or special) of Parent since January 1, 2000, as filed with the Commission; and (iii) all other reports, statements and registration statements and amendments thereto (including, without limitation, Quarterly Reports on Form 10-Q and Current Reports on Form 8-K, as amended) filed by Parent with the Commission since January 1, 2000, together with those reports or other documents of the type described in clauses (i) through (iii) above, subsequently filed or required to be filed with the Commission.

  • Each of the Parent Securities Filings at the time of filing or as of the date of the last amendment thereof, if amended after filing, complied or, as to Parent Securities Filings subsequent to the date hereof, will comply in all material respects with the Securities Exchange Act or the Securities Act, as applicable.

  • The Parent Securities Filings at the time they were filed (or if amended or superseded by a filing prior to the date of this Agreement, then on the date of such filing) complied in all material respects with the requirements of (i) the Securities Act or the Exchange Act, as the case may be, and the rules and regulations of the SEC thereunder applicable to such Parent Securities Filings; and (ii) the rules and regulations of NASDAQ.

  • The Parent Securities Filings contain a list of the Proprietary Rights of Parent, and Parent either owns sufficient right, title and interest to, or has a valid right to use, such Proprietary Rights to enable Parent to conduct its business operations.

  • Except as set forth in the Parent Securities Filings, there is no material action, suit or proceeding of any nature pending or overtly threatened against Parent, its properties or any of its officers or directors, in their respective capacities as such.

  • The audited consolidated and unaudited interim financial statements of Parent and the Active Parent Subsidiaries included in the Parent Securities Filings (the "PARENT FINANCIAL STATEMENTS") have been made available to Web.

  • Other than as disclosed in the Parent Securities Filings filed since July 1, 2007, there is no litigation, proceeding or investigation, either pending or, to Seller’s knowledge, threatened, relating to Seller, Seller’s title to the LLC Interest, the Business, the Business Assets, the Employees or the Consultants, the outcome of which would have a Material Adverse Effect.

  • U.S. Government Securities Business Day means any day except for (a) a Saturday, (b) a Sunday or (c) a day on which the Securities Industry and Financial Markets Association recommends that the fixed income departments of its members be closed for the entire day for purposes of trading in United States government securities.

  • Company Financial Advisor has the meaning set forth in Section 3.10.

  • Company SEC Documents has the meaning set forth in Section 3.04(a).

  • Replacement Securities means securities of the same issuer, class and denomination as Loaned Securities.

  • Parent Disclosure Letter means the disclosure letter delivered by Parent to the Company simultaneously with the execution of this Agreement.

  • Book-Entry Securities Securities maintained in the form of entries (including, without limitation, the Security Entitlements in such Securities) in the commercial book-entry system of the Fed and held for the Trustee, directly or indirectly, by any Trustee's Fed Member. Book-Entry Securities shall not include, in any event, any Certificated Security (or any Security Entitlement in any Certificated Security) held, directly or indirectly, through a Clearing Corporation.

  • Mandatory Securities Depository means a foreign securities depository or clearing agency that, either as a legal or practical matter, must be used if the Fund determines to place Foreign Assets in a country outside the United States (i) because required by law or regulation; (ii) because securities cannot be withdrawn from such foreign securities depository or clearing agency; or (iii) because maintaining or effecting trades in securities outside the foreign securities depository or clearing agency is not consistent with prevailing or developing custodial or market practices.

  • Company Filings means all documents publicly filed by or on behalf of the Company on SEDAR since January 1, 2020.

  • Investment security means a marketable obligation in the form of a bond, note, or debenture, commonly regarded as an investment security and which is salable under ordinary circumstances with reasonable promptness at a fair value.

  • Commodity Exchange Act means the Commodity Exchange Act (7 U.S.C. § 1 et seq.), as amended from time to time, and any successor statute.

  • Company Stock Plans has the meaning set forth in Section 3.02(b).

  • Parent Equity Plans means all employee and director equity incentive plans of Parent and agreements for equity awards in respect of Parent Common Stock granted under the inducement grant exception.

  • Disclosure Letters means the Seller Disclosure Letter and the Buyer Disclosure Letter.

  • Parent Disclosure Schedule means the disclosure schedule dated the date hereof regarding this Agreement that has been provided by Parent to the Company.

  • Book Entry Warrants means Warrants that are to be held only by or on behalf of the Depository;

  • SEC Documents shall have the meaning specified in Section 4.5.

  • SEC Filings has the meaning set forth in Section 4.6.

  • Long-Term U.S. Government Securities means U.S. Government Securities maturing more than one year from the applicable date of determination.

  • Company Disclosure Documents is defined in Section 3.4(g) of the Agreement.
