Parent Securities definition

Parent Securities has the meaning set forth in Section 4.02(b)(ii).

Parent Securities means the Parent Ordinary Shares, Parent Preferred Shares, Parent Warrants, Parent Sponsor/Underwriter Warrants and the Parent UPOs, collectively.

Parent Securities shall have the meaning set forth in Section 4.05(c).

Examples of Parent Securities in a sentence

• In the event of a sale or other disposition by the undersigned of Parent Securities pursuant to Rule 145, the undersigned will supply Parent with evidence of compliance with such Rule, in the form of a letter in the form of Annex I hereto.

• There are no outstanding obligations of Parent or any of its Subsidiaries to repurchase, redeem or otherwise acquire any Parent Securities.

• As of the date hereof, there are no outstanding obligations of Parent or any of its subsidiaries to repurchase, redeem or otherwise acquire any Parent Securities.

• CURRICULA Grant recipients are required to document and use unified, standards-aligned curricula for all levels of adult education and literacy and English language acquisition that is deemed of high quality by IDOE.

• All securities issued upon the surrender of Parent Securities in accordance with the terms hereof shall be deemed to have been issued in full satisfaction of all rights pertaining to such securities, provided that any restrictions on the sale and transfer of Parent Securities shall also apply to the Purchaser Securities so issued in exchange.

Parent Securities means the Parent Ordinary Shares, the Parent Public Warrants, the Parent Sponsor/EBC Warrants and the Parent UPO, collectively.

Parent Securities means the Parent Common Stock, any other voting securities of Parent and any securities of Parent convertible into, exercisable or exchangeable for, or rights to purchase or acquire, shares of Parent Common Stock or other voting securities of Parent.
