Parent Securities definition

Parent Securities has the meaning set forth in Section 4.02(b)(ii).
Parent Securities means the Parent Ordinary Shares, the Parent Public Warrants, the Parent Sponsor/EBC Warrants and the Parent UPO, collectively.
Parent Securities shall have the meaning set forth in Section 4.5(c).

Examples of Parent Securities in a sentence

  • No certificates or scrip representing fractional shares of a Purchaser Ordinary Share will be issued pursuant to the Reincorporation Merger and any such fractional Purchaser Ordinary Share that a holder of the Parent Securities would otherwise be entitled to receive pursuant to this Agreement (after aggregating all fractional shares that otherwise would be received by such holder) shall be rounded down to the nearest whole Purchaser Class A Ordinary Share.

  • All securities issued in exchange upon the surrender of the Parent Securities in accordance with the terms hereof shall be deemed to have been issued in full satisfaction of all rights pertaining to such securities, provided that any restrictions on the sale and transfer of the Parent Securities shall also apply to the Purchaser Ordinary Shares so issued in exchange.
