Other Investment Documents means the Investment Agreement, the FT/DT Restructuring Agreement, the Amended and Restated Standstill Agreement, the Amended and Restated Confidentiality Agreements, any Qualified Subsidiary Standstill Agreement, the Amended and Restated Registration Rights Agreement, any Qualified Subsidiary Confidentiality Agreement, any standstill agreement entered into by a holder of equity interests of a Qualified Subsidiary pursuant to the Amended and Restated Standstill Agreement or any confidentiality agreement entered into by a holder of equity interests of a Qualified Subsidiary pursuant to the Amended and Restated Confidentiality Agreements.
Other Investment Documents means the Investment Agreement, the Standstill Agreement, the FT Investor Confidentiality Agreement, the DT Investor Confidentiality Agreement, any Qualified Subsidiary Standstill Agreement, the Registration Rights Agreement, any Qualified Subsidiary Confidentiality Agreement, any standstill agreement entered into by a holder of equity interests of a Qualified Subsidiary pursuant to the Standstill Agreement or any confidentiality agreement entered into by a holder of equity interests of a Qualified Subsidiary pursuant to the FT Investor Confidentiality Agreement or the DT Investor Confidentiality Agreement.

  • This Agreement and the Other Investment Documents embody the entire agreement and understanding of the parties hereto in respect of the subject matter contained herein, provided that this provision shall not abrogate (a) any other written agreement between the parties hereto, executed simultaneously with this Agreement, or (b) the understanding set forth in Item 1 of Schedule 2 to that certain memorandum dated June 22, 1995 among the Company, FT and DT.

  • The notice described in Section 7(p) of the Class A Provisions, upon the Distribution Date (as defined in the Rights Agreement), shall constitute an irrevocable and continuing waiver of any right that FT, DT or the Class A Holders may have to disapprove the Cellular Spin-off under this Agreement, the Articles, the Other Investment Documents or any document or agreement relating thereto.

  • Investment Documents means, collectively, the Loan Documents and the Warrants.

  • Other Investments means assets which are not Direct Investments or Underlying Funds.

  • Fund Documents those documents prepared by the Fund that, pursuant to Rule 498(e)(1), must be publicly accessible, free of charge, at the Web site address specified on the cover page or at the beginning of the Summary Prospectus.

  • Amendment Documents means this Amendment, the Credit Agreement (as amended by this Amendment), and each certificate and other document executed and delivered by the Borrowers pursuant to Section 5 hereof.

  • Credit Agreement Documents means the collective reference to any Credit Agreement, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced, restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.

  • Other Investors shall have the meaning set forth in the Preamble.

  • Procurement Documents means the procurement documents attached hereto as Schedule F (if any);

  • Reinvestment Agreements One or more reinvestment agreements, acceptable to the Rating Agencies, from a bank, insurance company or other corporation or entity (including the Trustee).

  • Securities, documents or other written instruments means original (including original counterparts) negotiable or non-negotiable instruments, or assignments thereof, which in and of themselves represent an equitable interest, ownership, or debt and which are in the ordinary course of business transferable by delivery of such instruments with any necessary endorsements or assignments.   • Equity Line Transaction Documents means this Agreement and the Registration Rights Agreement.

  • Subordinated Note Documents means the indenture under which the Subordinated Notes were issued and all other instruments, agreements and other documents evidencing or governing the Subordinated Notes or providing for any Guarantee or other right in respect thereof.

  • Borrower Documents shall have the meaning set forth in Section 6.06.

  • Senior Documents means, collectively, with respect to any Senior Obligation, any provision pertaining to such Senior Obligation in any Loan Document or any other document, instrument or certificate evidencing or delivered in connection with such Senior Obligation.

  • Related Documents mean and include without limitation all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Indebtedness.

  • Receivables Documents means all documentation relating to any receivables financing program providing for the sale of some or all Receivables Facility Assets by Company and its Subsidiaries (whether or not to a Receivables Subsidiary) in transactions purporting to be sales and shall include the documents evidencing any Permitted Accounts Receivable Securitization and any Receivables Factoring Facility.

  • Acquisition Agreements means the Nexstar Acquisition Agreement and the Mission Acquisition Agreement, and “Acquisition Agreement” means the applicable agreement in the context used.

  • Investment Agreement shall have the meaning set forth in the Recitals hereto.

  • L/C Related Documents has the meaning specified in Section 2.06(b)(i).

  • Equity Agreements has the meaning set forth in Section 5.1.
