Non-US Guarantor definition

Non-US Guarantor any Guarantor not organized under the laws of any jurisdiction within the United States.

Examples of Non-US Guarantor in a sentence

  • Service of process upon the Authorized Agent with respect to any such action shall be deemed, in every respect, effective service of process upon any such Non-U.S. Guarantor.

  • Each Non-U.S. Guarantor agrees to take any and all actions, including the filing of any and all documents and instruments, that may be necessary to continue such appointment in full force and effect as aforesaid.

  • Notwithstanding the foregoing, any action against any Non-U.S. Guarantor arising out of or based on any Security may also be instituted by the Holder of such Security in any court in the jurisdiction of organization of such Non-U.S. Guarantor, and such Non-U.S. Guarantor expressly accepts the jurisdiction of any such court in any such action.

  • Each Non-US Guarantor hereby further acknowledges and agrees that the Borrower shall receive all notices to such Non-US Guarantor for all purposes of this Agreement, the Credit Agreement and the other Loan Documents.

Non-US Guarantor means each Guarantor listed as a Non-US guarantor in Schedule 1.1(c) and any other Foreign Subsidiary that becomes a party to the Guaranty.

Non-US Guarantor means any Subsidiary Guarantor that is not a Domestic Subsidiary Guarantor.
