Examples of New VASCO in a sentence

  • This Agreement is subject to the terms and conditions of the Exchange Offer, as defined in the Prospectus, and will become effective and binding on the parties hereto upon acceptance by New VASCO of shares of common stock of Current VASCO tendered pursuant to the Exchange Offer.

  • After the expiration of the respective Vesting Period, the applicable New VASCO Option may be exercised at any time, and from time to time, in whole or in part, until the termination thereof as provided in Section 1.4 below.

  • The Optionholder acknowledges that the New VASCO Options are not "Incentive Stock Options," or otherwise qualified options for federal tax purposes, within the meaning of Section 422 of the Internal Revenue Code of 1986, as amended ("ISOs").

  • This Letter of Transmittal and Release must be used to accept the Exchange Offer (as defined herein to include the terms and conditions set forth herein and in the Prospectus dated _______________, 1997 (the "Prospectus")), of New VASCO if certificates representing Current VASCO Shares (as defined in the Prospectus) are to be physically delivered to Illinois Stock Transfer Company, as exchange agent (the "Exchange Agent").

  • The Warrantholder shall have no rights as a stockholder with respect to the New VASCO common stock into which the New VASCO Warrants are exercisable until proper exercise of a New VASCO Warrant and delivery to the Warrantholder of such shares as provided in the New VASCO Warrants.

  • In rendering our opinion, we have examined and relied upon the accuracy and completeness of the facts, information, covenants and representations contained in originals or copies, certified or otherwise identified to our satisfaction, of the Prospectus filed as part of the Registration Statement (the "Prospectus"), and such other documents and representations of representatives of New VASCO as we have deemed necessary or appropriate.

  • The Optionholder shall have no rights as a stockholder with respect to the option shares until proper exercise of a New VASCO Option and delivery to the Optionholder of certificates for such shares as herein provided.

  • The New VASCO Options shall be executed by written notice directed to the Committee of New VASCO established under the 1997 VASCO Data Security International, Inc.

  • New VASCO shall make immediate delivery of such shares, provided that if any law or regulation requires New VASCO to take any action with respect to the shares specified in such notice before the issuance thereof, then the date of delivery of such shares shall be extended for the period necessary to take such action.

  • The New VASCO Options are nontransferable by the Optionholder, except in the event of his death as provided in Section 1.4(b) above, and during his lifetime are exercisable only by the Optionholder.

Related to New VASCO

  • DTS means Days to Settlement, i.e., the number of actual days elapsed from and including the original Closing Day with respect to such Accepted Note (in the case of the first such payment with respect to such Accepted Note) or from and including the date of the next preceding payment (in the case of any subsequent delayed delivery fee payment with respect to such Accepted Note) to but excluding the date of such payment; and "PA" means Principal Amount, i.e., the principal amount of the Accepted Note for which such calculation is being made. In no case shall the Delayed Delivery Fee be less than zero. Nothing contained herein shall obligate any Purchaser to purchase any Accepted Note on any day other than the Closing Day for such Accepted Note, as the same may be rescheduled from time to time in compliance with paragraph 2B(7).

  • EUMA means the “SAP Delivered Support Agreement” which sets out the terms and conditions under which SAP provides support to End Users and which will be provided by SAP on a deal by deal basis.

  • Comcast means Comcast Corporation, a Pennsylvania corporation.

  • AMFI means Association of Mutual Funds in India.

  • SCI has the meaning set forth with respect thereto in the preamble. ---

  • EPFO means Employees' Provident Fund Organization

  • SADC means the Southern African Development Community;

  • Newco has the meaning set forth in the first paragraph of this Agreement.

  • LSI means Large Scale Industry

  • Biofuel means liquid or gaseous fuel for transport produced from biomass;

  • DDO means Direct Demanding Officer

  • AMC means Annual Maintenance Contract

  • DCO means a derivatives clearing organization as defined in Section 1a(15) of the CEA that is registered with, or has been exempted from registration by, the CFTC and that provides clearing services with respect to any Swaps traded on the SEF or pursuant to the SEF Rules.

  • NBME means the National Board of Medical Examiners, an organization that prepares and administers qualifying examinations, either independently or jointly with other organizations.

  • VET means vocational education and training.

  • In loco parentis means relating to the responsibility to undertake the care and control of another person in the absence of:

  • Brands means the Sprint PCS Brands and the Sprint Brands.

  • NGO means a non-governmental organization established and operating under the laws of the Borrower;

  • ESPD means the European Single Procurement Document completed by the Contractor and sent to the Authority on 27th March 2019
