Monthly Accrued Note Interest means, with respect to any Payment Date and (i) any Class of Notes, interest accrued for the related Interest Accrual Period at the applicable Note Interest Rate for such Class on the aggregate principal balance of the Notes of such Class as of the immediately preceding Payment Date, after giving effect to all payments of principal to Noteholders of such Class on or prior to such preceding Payment Date (or, in the case of the first Payment Date, the initial principal amount of such Class of Notes); and (ii) with respect to the Notes collectively, the sum of Monthly Accrued Note Interest for each Class.
Monthly Accrued Note Interest means, with respect to any Payment Date and (i) any Class of Notes, interest accrued for the related Interest Accrual Period at the applicable Note Interest Rate on the aggregate principal amount of the Notes of such Class as of the immediately preceding Payment Date, after giving effect to all payments of principal to Noteholders on or prior to such preceding Payment Date (or, in the case of the first Payment Date, the initial principal amount of the Notes); and (ii) with respect to the Notes collectively, the sum of Monthly Accrued Note Interest for each Class.
Monthly Accrued Note Interest means, with respect to any Payment Date and (i) any Class of Notes, interest accrued for the related Interest Accrual Period at the applicable Note Interest Rate on the aggregate principal amount of the Notes of such Class as of the immediately preceding Payment Date, after giving effect to all payments of principal to Noteholders on or prior to such preceding Payment Date (or, in the case of the first Payment Date, the initial principal amount of the Notes); and (ii) with respect to the Notes collectively, the sum of Monthly Accrued Note Interest for each Class. "Note Pool Factor" shall mean, with respect to any Class of Notes, as of the close of business on the last day of a Collection Period, a seven-digit decimal figure equal to the outstanding principal balance of such Class of Notes (after giving effect to any reductions thereof to be made on the immediately following Payment Date) divided by the original outstanding principal balance of such Class of Notes. Each Note Pool Factor will be 1.0000000 as of the Closing Date; thereafter, the Note Pool Factor will decline to reflect reductions in the outstanding principal amount of such Class of Notes. "Noteholder" shall mean a Person in whose name a Note is registered on the Note Register. "Obligor" on a Receivable shall mean the purchaser or co- purchasers of the related Financed Vehicle purchased in part or in whole by the execution and delivery of such Receivable, or any other Person who owes or may be liable for payments under such Receivable. "Officer's Certificate" shall mean a certificate signed by the chairman, the president, any executive vice president, vice president or the treasurer of the Seller or the Servicer, as the case may be, and delivered to the Owner Trustee and the Indenture Trustee. "Opinion of Counsel" shall mean a written opinion of counsel (who, in the case of counsel to the Seller or the Servicer, may be an employee of, or outside counsel to, the Seller or the Servicer), which
