MM Member Group definition

MM Member Group means the MM Member together with each Person to whom any Company Interest held the by MM Member on the date hereof is Transferred, whether by operation of law or otherwise, including, without limitation, any such Person to whom such Company Interests is Transferred by a Person other than the MM Member.

  • If (y) any amount set off pursuant to this Section 5.13 is distributed to the ROI Member and (z) such amount so set-off, in whole or part, is determined to be improper by a court of competent jurisdiction after exhaustion of all appeals or by settlement by and among the parties and, in each case, payable to the MM Member Group (the “Disallowed Set-Off Amount”), then, the ROI Member and the Company shall be jointly and severally obligated to MM Member Group as to payment of the Disallowed Set-Off Amount.

  • Founding Member means any individual who is either:

  • Founding Members means the collective reference to American Multi-Cinema, Inc., a Missouri corporation, Cinemark Media, Inc., a Delaware corporation, and Regal CineMedia Holdings, LLC, a Delaware limited liability company.

  • Class B Member means a Member holding one or more Class B Ordinary Shares.

  • Partner Group means any legal entity that has direct or indirect Control over the Partner and only as long as that legal entity maintains direct or indirect Control (“Parent Companies”) as well as all Associated Companies of the Parent Companies.

  • Founder Member means a subscriber to these rules for the purposes of registration;

  • Shareholder Group means (i) Shareholder and (ii) any Affiliate or Shareholder Family Entity (as defined in the Shareholder's Agreement) of Shareholder (other than the Company).

  • Class A Member means a Member holding one or more Class A Ordinary Shares.

  • Contributing Member shall have the meaning set forth in Section 3.2(b).

  • Member means a member of the Board;

  • Staff member means a staff member as defined in section 1(1) of the Public Service Act, 1995 (Act No. 13 of 1995);

  • Stockholder Group means the Stockholder and each Person (other than any member of the Company Group) that is an Affiliate of the Stockholder.

  • Participating member means an eligible employee who elects to participate in the defined contribution retirement plan established under this chapter.

  • Service member means a member of the armed forces, a reserve branch of the armed forces, or the Michigan national guard.

  • Consortium Member means a company specified in Recital (B) as a member of the Consortium;}

  • Class B Members means any Persons to whom Class B Membership Units are issued, and any assignee or transferee of such Persons permitted under the terms of this Agreement, and any other Person admitted to the Company in the future as a Class B Member pursuant to the terms hereof. The names of the Class B Members, and the Percentage Interests allocated to each such Class B Member, shall be reflected in the books and records of the Company.

  • Other Member means a Voting Member who is not an Eligible Account Holder or a Supplemental Eligible Account Holder.

  • Continuing Member means a member of the Board of Directors of the Company who either (a) was a member of the Company's Board of Directors on the Effective Date and has been such continuously thereafter or (b) became a member of such Board of Directors after the Effective Date and whose election or nomination for election was approved by a vote of the majority of the Continuing Members then members of the Company's Board of Directors.

  • Full Member means any person who is in one of the categories of membership referred to in Rule 10.3.

  • Employee Member means a member of the “Bargaining Unit”.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.
