Method of Giving Consent. Any Consent required by this Agreement may be given by a written Consent given by the consenting Partner and received by the General Partner at or prior to the doing of the act or thing for which the Consent is solicited.
Method of Giving Consent. Any Consent required by this Agreement may be given by a Partner as follows: (1) at a meeting, in person, by a written proxy or signed writing directing the manner in which it desires that its vote be cast, which writing must be received by the Managing Partner prior to such meeting, or (2) without a meeting, by a signed writing directing the manner in which it desires that its vote be cast, which writing must be received by the Managing Partner prior to the date upon which the vote of Partners are to be counted. Any Partner may waive notice of or attendance at any meeting of the Partners and may execute a signed written consent.
