Investor Common Stock definition

Investor Common Stock means any Common Stock issued to or held by the Investor Group.

Investor Common Stock shall have the meaning set forth in Section 2.5(c).

Investor Common Stock means the Class A Investor Common Stock and the Class B Investor Common Stock.

More Definitions of Investor Common Stock

Investor Common Stock means the common stock of Investor.

Investor Common Stock means, collectively, the Closing Common Stock, the Converted Common Stock and the Unit Common Stock.

Investor Common Stock means (i) any Common Stock issued upon conversion of the Convertible Stock and (ii) any Common Stock issued or issuable with respect to the Common Stock referred to in clause (i) above by way of stock dividends or stock splits or in connection with a combination of shares, recapitalization, merger, consolidation or other reorganization. As to any particular shares of Investor Common Stock, such shares shall cease to be Investor Common Stock when they have been (a) effectively registered under the Securities Act and disposed of in accordance with the registration statement covering them, (b) distributed to the public through a broker, dealer or market maker pursuant to Rule 144 under the Securities Act (or any similar rule then in force) or (c) repurchased by MCK or any Subsidiary.

Investor Common Stock means (i) the Common Stock issued pursuant to the Investor Subscription Agreement, (ii) the Co-Invest Warrant, (iii)the Common Stock issued or issuable upon exercise of the Co-Invest Warrant and (iv) any Common Stock issued or issuable with respect to the securities referred to in clauses (i) through (iii) above by way of stock dividend or stock split or in connection with a combination of shares, recapitalization, merger, consolidation or other reorganization. For purposes of this Agreement and the Co-Invest Warrant, any Person who holds the Co-Invest Warrant shall be deemed to be the holder of the Investor Common Stock obtainable upon exercise of the Co-Invest Warrant in connection with the transfer thereof or otherwise regardless of any restriction or limitation on the exercise of the Co-Invest Warrant, such Investor Common Stock shall be deemed to be in existence, and such Person shall be entitled to exercise the rights of a holder of Investor Common Stock hereunder.

Investor Common Stock means all shares of Investor Common Stock --------------------- acquired or to be acquired pursuant to this Agreement by the Executive. Investor Common Stock will continue to be Investor Common Stock in the hands of any holder other than the Executive (except for the Company and the Purchasers and except for transferees in a Public Sale), and except as otherwise provided herein, each such other holder of Investor Common Stock will succeed to all rights and obligations attributable to the Executive as a holder of Investor Common Stock hereunder. Investor Common Stock will also include shares of the Company's capital stock issued with respect to Investor Common Stock by way of a stock split, stock dividend or other recapitalization.
