Investment Shares definition

Investment Shares means the Class A shares issued to the Sponsor Shareholders pursuant to the Investment.

Investment Shares means Shares acquired pursuant to Rule 3 (Investment Shares) and any further Shares added to a holding of Investment Shares under Rule 3.4 (Variation of share capital – Investment Shares);

Investment Shares means Shares committed to the Plan by an Eligible Person to qualify for an Award in accordance with Rule 7.

Examples of Investment Shares in a sentence

• Participants are offered to purchase a maximum number of Investment Shares that shall be allocated to LTIP 2022.

• Except for LTIP 2021 Shares, Indutrade shares already held by the Participants at the time of implementation of the programme may not be accounted for as Investment Shares under LTIP 2024.

• Should the Participant be prohibited from acquiring Indutrade shares under market abuse rules or similar at the time of enrolment in LTIP 2024, Investment Shares must instead be acquired as soon as such restrictions no longer apply.

• Allotment of Indutrade shares pursuant to the Performance Share Rights is subject to the fulfilment of the performance condition set out below, and will generally require that the Participant retains their employment and all of their Investment Shares over a period of approximately three years from the launch of the programme until the date of announcement of the interim report for the first quarter of 2027(the “ Vesting Period”).

• The maximum number of Investment Shares allotted to a participant shall be calculated as a percentage of the relevant participant’s annual fixed salary divided by SEK 35.88, which was the averageshare price during the period 11 February 2022 to 10 March 2022.

More Definitions of Investment Shares

Investment Shares means the Initial Investment Shares, the Further Investment Shares and, if applicable, the Additional Further Investment Shares issued to the Investor pursuant to the Investment Agreement, in each case as such term is defined in the Investment Agreement.

Investment Shares means Common Shares or Softkey Exchangeable Shares beneficially owned by any person (an "Investing Person") (i) who or which became the Beneficial Owner of such Common Shares in connection with, or as a direct result of, the Capital Investment (as such term is hereinafter defined) or (ii) to whom or to which such Common Shares or Softkey Exchangeable Shares shall have been transferred from an Investing Person who at the time of such transfer (A) was an Affiliate or Associate of such transferee and (B) was by reason of the second proviso of the foregoing sentence deemed not to be the Beneficial Owner of such Common Shares or Softkey Exchangeable Shares. Notwithstanding the foregoing, if the Board of Directors of the Company determines in good faith that a Person who would otherwise be an "Acquiring Person", as defined pursuant to the foregoing provisions of this paragraph (a), has become such inadvertently, and such Person divests as promptly as practicable a sufficient number of Common Shares or Softkey Exchangeable Shares so that such Person would no longer be an Acquiring Person as defined pursuant to the foregoing provisions of this paragraph (a), then such Person shall not be deemed to be an "Acquiring Person" for any purposes of this Agreement. Notwithstanding anything in this definition of Acquiring Person to the contrary, the phrase "then outstanding" when used in this Agreement with reference to Softkey Exchangeable Shares shall mean the number of Softkey Exchangeable Shares then issued and outstanding which are not owned by the Company, any of its Subsidiaries or any person directly or indirectly controlled by or under common control of the Company, multiplied by the Merger Exchange Ratio, appropriately adjusted to reflect any stock split, stock dividend or similar transaction occurring after the date hereof.
